Purpose

The General Counsel will report to the CFO and advise senior management, as well as managing Ravago’s in-house legal team and outside legal advisors. The General Counsel will provide advice on the full range of Ravago’s legal matters, including compliance, regulatory and policy matters, contracting and procurement, and other general legal matters related to the activities of Ravago and its employees.

In addition, an important aspect of the role will be advising on and overseeing a wide variety of commercial relationships. The successful candidate will have a proven ability to quickly assimilate new information, act prudently and think creatively under high pressure and tight deadlines, and operate efficiently in an entrepreneurial environment.

Areas of Responsibility / Tasks

Performance must reflect appropriate level of expertise and achievement of the desired results for the items listed below.

Advise senior management on all aspects of corporate governance and compliance, including statutory requirements, corporate bylaws, ethics, employment and HR matters and confidentiality policies.

Oversee all in-house legal matters and manage in-house legal team.

Procure and manage outside counsel as needed.

Effective management of legal and compliance risk for Ravago Americas.

Leading, managing and developing the Ravago Americas legal and compliance teams.

Collaborate with legal and compliance team members cross-divisionally in order to share expertise and drive best practice.

Act as liaison to federal, state and local agencies as needed regarding legal and/or policy coordination.

Oversee all legal matters from each of Ravago’s divisions, including litigation and disputes, intellectual property, employment, environmental and permitting, procurement, construction, and general commercial matters.

Keep abreast of legislative changes

Managing the aquisitions process for new entities to Ravago.

Other tasks as directed by Ravago’s executive team

Knowledge/Experience

Previous experience as a General Counsel (required)

Juris Doctorate from an accredited law school

A minimum of 10 years of experience as an attorney, preferably in a corporate legal setting

Admission to practice law in the state of Florida

Working knowledge of compliance, contracts, UCC and other relevant commercial areas.

Familiarity with bank financing and experience/knowledge around setting legal strucutre to minimize risk.

Prior experience in the areas of petrochemicals, plastic resin distribution, manufacturing, and/or supply chain industries a plus.

Ability to communicate with all levels and departments and the ability to multi-task in a fast-paced environment. Must possess excellent communication (oral and writtent) and leadership skill.s.

Ability to organize work and consistently meet deadlines under minimal supervision.

Strong attention to detail.

Ability to handle substantive issues and design practical solutions for all phases of significant transactions.
