The US General Counsel is responsible for supporting a fast-paced, demanding environment driven by the dynamic and highly diversified growth of the company, with solid experience in drafting, structuring, negotiating commercial contracts, practice of corporate, shipping, transport and/or consumer law and excellent drafting and communication skills. The US General Counsel supports all shoreside activities, Ocean Cay and matters related to the development of the PortMiami Terminal and any future US projects.

KEY RESPONSIBILITIES

•Drafts, revises and negotiates commercial contracts and agreements on the main activities of the Company, taking responsibility up to final delivery;

•Provides legal advice and guidance to business and operating departments on legal issues, policies and contracts in different areas of law (commercial, corporate, shipping, transport, consumer and IT law) ensuring the company operates in compliance with the business regulatory requirements and other applicable laws and regulations;

•Handles court and out-of-court claims and litigation, liaising with external counsels assisting the Company;

•Contributes to the setting and implementation of policies and procedures of Corporate Governance and Compliance (including Data Protection, anti-bribery, sanctions, anti-money laundering), in cooperation with Corporate Legal, Administration and Finance functions;

•Provides assistance to ships, Ocean Cay and operations in relation to the U.S. business of the company;

•Assists in developing training materials and provide training to the business on relevant topics such as the contracting process and data protection;

•Takes responsibility for proposing and monitoring the budget for the legal spending within the U.S. office.

JOB REQUIREMENTS (skills, competencies, experience)

•Fluent English and additional language(s) preferred

•At least 5 years PQE in a commercial law firm or in-house in an international environment. Ideally, the candidate will have both law firm and corporate experience in a multinational company in the travel/tourism or in other B2C industry. Proven experience in shipping, consumer or transport law is a preferred asset;

•Admission to the bar in the U.S. or special studies for in-house lawyer constitute a preferred asset;

•Proficient in Microsoft Office 365;

•High verbal communication, drafting and negotiation skills;

•Ability to organize, prioritize and manage deadlines, in a fast paced, rapidly evolving and demanding industry and work environment;

•Ability to develop and maintain strong working relationships with demanding internal clients;

•Proven ability to work collaboratively in a cross-functional environment and communicate with people at all levels;
