The Senior Vice President and General Counsel directs the legal affairs of Arch. Provides legal counsel and guidance on the ordinary and special activities of the company. Ensures maximum protection of Arch’s legal rights, utilizing broad familiarity with most legal disciplines. Participates in executive management policy deliberations and decisions. Directs the defense of Arch against suits or claims and prepares and oversees the prosecution of Arch’s claims against others. Oversees the legal aspects of organizational transactions and the preparation of reports and statements of a legal nature.

Job Responsibilities

Responsible for counseling and advising the Board of Directors and the executive team of Arch on all legal matters and business considerations.

Provide strategic direction and guidance in all government affairs and regulatory matters, which affect Arch's business activities.

Provide legal counsel, business advice, review legal aspects of and review, draft and negotiate documents in connection with, among other things, affiliation, marketing and services agreements, corporate acquisitions and divestitures, mergers and business affiliations, purchases or sales of assets of the company, or other business arrangements; prepare and make appropriate governmental filings and obtain appropriate regulatory approvals.

Manage outside counsel to ensure efficient utilization thereof.

Demonstrate knowledge in contract review and negotiations, real estate transactions, documentation and compliance matters, employment law, intellectual property, marketing and marketing review, international transactions, as well as corporate governance matters.

Work in partnership with the company's operational areas, including, underwriting, reinsurance, marketing, claims, finance, tax, technology and human resources.

Manage departmental attorneys to ensure efficient functioning of legal department services, as well as appropriate development of the staff.

Interact positively and professionally with all levels of management, including senior management, agents, brokers, customers, and outside agencies.

Be results-oriented with a track record of gaining management credibility and influencing business results.

Be a true business partner with the business team, not just a legal adviser, by working together with the business team to successfully achieve the business goals and objectives.

Demonstrate a high degree of independent judgment.

Administer, monitor and enforce Arch’s records retention policy, Code of Conduct and other Arch policies and initiatives.

Required Skills/Experience

Incumbent would be expected to have a law degree and a minimum of 10-15 years of corporate law experience, preferably with a property and casualty insurance carrier. Strong financial modeling skills and insurance industry knowledge would be required.
