General

Manage and proactively run Legal Department functions for the organization.Be a counselor, partner and confidant to organization leadership.

Governance

Be the internal owner of all corporate entities; manage books and records; ensure meetings and resolutions are carried out. Ensure corporate compliance program (including employee Code of Conduct) is up to date.

Commercial / Vendor Contracting

Ensure that Legal Department owns/updates all proprietary commercial and other contract forms.Ensure that contracting process/procedures/workflows are in place, efficient and understood. Conduct ongoing training as necessary to personnel. Own the process/workflows for Legal Department review of commercial contracts (customer and vendor) and improve it going forward.Contract life cycle – ensure that all contracts have a defined lifecycle – negotiation, execution, storage, termination, and retention schedule and that policies and solutions are implemented to ensure compliance.Draft, negotiate and execute on commercial/vendor contracts as necessary.

Dispute Resolution

Lead on all company litigation/legal disputes.Serve as primary advisor on disputes that may evolve to litigation as they arise; coordinate with outside litigation counsel as necessary.

Additional Responsibilities

Information Security/Data Privacy - serve as an internal expert son personal data privacy issues, including deep understanding of GDPR and CCPA, and provide legal support to the company’s Information Security personnel.HR/Labor – work with the HR department on employment-related legal matters (hiring/termination/severance).

Intellectual Property – own the trademark portfolios of the company. Work with relevant personnel to apply/maintain IP protections. Ensure procedure is in place to simplify process for applying for patents/trademarks.

Real Estate – serve as a central point of contact for real estate matters.

Reports to: CFOManages: Legal department (1 US commercial contracting resource, 1 UK commercial contracting resource, 1 paralegal)

Qualifications

BA/BS and JD from top law school

10-15 years of relevant work experience including at an Am-Law 100 law firm and/or within a large Fortune 500 legal department.Admitted to practice law in the State of Texas

Experience directly managing employees, including remote employees

Expertise working with and managing international teams on day to day matters as well as on special projects/transactions

Client-focused and hands-on, with a roll up your sleeves mentality toward getting work completed.Ability to consider cross-functional perspectives and drive common ground solutions.Demonstrates natural learning agility and personal flexibility in a fast-paced, change-oriented environment.Excellent analytical, interpersonal, communication, presentation, influencing and leadership skills will be essential.Experience with SaaS and data-focused technology companies.Experience in the hospitality, food & beverage and/or retail sectors is desirable
