The General Counsel (GC) will provide day to day business and legal counsel to our senior management team, including the Managing Director, Americas and the Chief Financial Officer, Americas. The GC will report to the Americas CFO, dotted line to global Chief Risk Officer, and be a key member of the Americas Leadership Team (ALT). The GC will lead strategic and tactical legal initiatives and provide legal counsel to the ALT on day to day and special situations.

What You Will Be Doing:

Manage contractual risk

Negotiates and reviews various types of contracts (including prime contracts, subcontracts, and master service agreements) and other agreements in a time sensitive environment.

Analyzes legal matters arising in connection with both pursuit and execution of projects and provides advice and counsel to project management and the ALT.

Work with the global CRO to ensure continuous improvement of processes which minimize, mitigate, or eliminate contract risk

Development of contract templates and ensuring adoption by the commercial teams

Implementing, and where appropriate developing relevant policies, procedures, and technology solutions

Communicate best practices and lessons learned

Training for personnel in various roles, as appropriate

Provides advice and assistance with construction claims and disputes with contractors, owners and subcontractors

Leads the legal and compliance management functions for the Americas including licensing, insurance and bonding

Works closely with ALT to proactively identify and develop approaches to mitigate risk to the company

Collaborates with global Chief Risk Officer to develop, implement, and manage global risk initiatives

Provide legal advice, opinion and support regarding labor issues.

Work with People and Culture and ALT to ensure policies and procedures are compliant with local, state and federal laws.

General Responsibilities:

Seeking and coordinating external legal advice as required, including for labor issues, corporate and tax structures, and other specialized areas of law,

Establish relationships with and managing outside legal resources, including managing of external legal costs within budget

Provide guidance and advice in relation to other legal matters such as privacy, OHS, issuing of promotional and marketing material, professional services agreements, etc. as required

Required:

Minimum 10+ years construction law or directly related field

Comprehensive knowledge of industry business practices and the negotiation of prime contracts, subcontracts, and agreements

Extensive experience with AIA contracts, subcontracts, bonding agreements, master service agreements

Experience in dispute resolution, including litigation, mediation and arbitration

Able to adapt and manage competing and changing priorities

Very strong work ethic

Demonstrable leadership skills

Highest level of integrity and ethical judgment

Able to deal with ambiguity and still make appropriate judgment calls

Able to anticipate management’s needs and independently identify, initiate and implement necessary actions

Strong business acumen

Outstanding verbal, written and presentation skills

Able to work effectively as part of a team

Reliable, highly self-motivated and well organized

Independent and proactive
