Legacy Health, the largest nonprofit, community-owned health system serving the Portland-Vancouver area and the mid-Willamette Valley, seeks to improve our community by helping people live healthier and better lives. The Chief Legal Officer will lead Legacy in developing and implementing a legal strategy for Legacy and its subsidiaries that supports Legacy’s strategic vision and mission. The successful candidate will apply sound business acumen in providing timely, thoughtful and comprehensive legal advice in support of organizational strategies, and will be highly collaborative and comfortable in a consensus-driven environment. The successful candidate will display a tolerance for ambiguity and the ability to make recommendations and decisions with incomplete information. As a key member of the Legacy Health executive team who will be reporting to the CEO, the CLO will bring seasoned executive presence in support of other senior leaders, the organization, and our journey towards adopting a lean management system, and will develop, guide, lead and inspire a high-performing team of department attorneys and legal support staff.

Responsibilities

The Senior Vice President and Chief Legal Officer (CLO) develops and implements legal strategy for all appropriate issues related to Legacy Health and its subsidiaries. Reporting to the system CEO, the CLO is a senior vice president who leads the legal department, protects Legacy's interests and operations under the law and coordinates all legal work. The CLO will serve as the Secretary of the Board of Directors.

Qualifications

Education: J.D. from an accredited law school.

Experience: A minimum of ten years in healthcare law experience gained either in a corporate counsel setting in a hospital or health system or in a private law firm. Strongly prefer candidates who have both private practice and corporate counsel experience. Substantive experience providing guidance and leadership to professionals preferred. Must demonstrate ability to have progressively increased responsibility and scope over time. Knowledge and experience in Stark, Anti-kickback Statute, antitrust, physician relationships, tax-exempt status, managed care and risk contracting, mergers and acquisitions, Medicare and corporate law required.

Skills:

Skilled in consulting and advising System CEO, senior management, Board of Directors, medical staff and other stakeholders with regard to overall strategic direction for the organization, legal issues, public policy, risk, and advocacy. Ability to work in a corporate environment as a collaborative and collegial member of the team.

An astute ability to understand the strategic issues facing the organization and explore creative and legally appropriate options. A proactive orientation toward developing legal strategies to support organizational goals. Ability to understand and consistently apply Legacy’s mission, vision, strategic plans and tactics to responsibilities.

Demonstrated broad understanding of the health care environment and legal issues unique to that environment. Ability to translate the risks associated with legal issues for colleagues.

An influential leader who knows how to facilitate agreement or consensus; comfortable using formal and informal authority as required. Skilled at making midcourse corrections. Strong follow up skills with appreciation of deadlines and accountability.

Ability to clearly and succinctly communicate with all customers on legal matters, both orally and in writing, including translating complex legal issues to the Board of Directors. Ability to rapidly analyze complex situations.

Able to lead a legal team with confidence and humility. Ability to work effectively in a consensus driven environment and where direct feedback is expected. Knowledgeable in how to allocate resources effectively, determine what legal activities can be done in-house and what needs to be delegated to outside counsel, and set appropriate service standards for the department.
