Job Description

Ryan Companies US, Inc. is seeking an exceptional leader to fill the critical role of Chief Legal Officer “CLO”. Our CLO will be a trusted advisor to members of Ryan’s leadership team and the Board of Directors. This proven professional will be Ryan’s Corporate Secretary and lead our legal, compliance and risk management strategies. As a member of Ryan’s Executive Leadership Team, the CLO will participate in developing and advising Ryan’s overall business strategies and their implementation.

Executive Leadership

Our CLO will serve as a strategic partner and adviser to the division, region, market sector and functional leaders, evaluating and assisting with strategic and operational plans. They will train and educate business leaders throughout the organization with respect to key lease clauses, construction contracts and partnership concepts. The CLO will understand the strategic and tactical objectives of the business to develop creative and thoughtful solutions to business challenges.

Lead Legal Practice

Our CLO will oversee all company legal functions and practices, including compliance with laws and operational governance and the execution of all real estate transactions, including environmental functions and risks associated with development projects. Responsibilities also include minimizing legal and reputational risk while protecting the company in collaborating with business leaders throughout the organization to provide practical solutions to legal issues and risk management decisions. Our CLO will also advise on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities as well as work with Human Resources business partners to address and resolve employment law matters and other employment-related matters.

Lead Risk Management Practice

Our CLO will formulate, evolve and oversee the execution of a long-range risk management framework. This includes negotiating and structuring insurance and bonding coverage in the areas of general liability, automobile liability, employer’s liability, property and equipment, builder’s risk, director and officer liability, and subcontractor default insurance.

Leadership Development

Our CLO will recruit, develop and grow a robust team of legal professionals, understand emerging talent needs and ensure the right individuals are in place at the right times to support growth. Our CLO will coach, train and create meaningful evaluation and recognition strategies to ensure engagement and retention remain high and employees achieve meaningful experiences that align with our core values.

To be successful in this role, candidates must have a Juris Doctorate degree from an accredited law school and be an active member in good standing of the Minnesota State Bar. They must also have at least 15 years of successful legal counsel experience in a service-driven company, relevant law firm experience, and/or in-house experience in a commercial real estate development or construction organization. They must also have expert knowledge of negotiating and closing complex land deals and creditor agreements, along with experience with real estate deal making, tenant leasing and partnership formation.

Candidates must be able to effectively analyze and manage complex information to develop well-reasoned solutions to problems. The right leader must display integrity and high ethical standards, while bringing a long-term, broad perspective, and intellectual curiosity to business issues. The ideal leader is a self-starter who knows how to get things done and can build a strong network of relationships, as well as demonstrate adaptability and flexibility while maintaining a positive outlook.
