To support our growth, we are looking for an experienced General Counsel to join our team, reporting directly to the Chief Administrative Officer.

Summary:

The general counsel is responsible for leading corporate strategic and tactical legal initiatives. The general counsel provides senior management with effective advice on company strategies and their implementation, manages the legal function, and obtains and oversees the work of outside counsel. The general counsel is directly involved in complex business transactions in negotiating critical contracts.

Confidentiality and Ethical Practice: This role will receive confidential, private or otherwise sensitive information. The General Counsel must demonstrate integrity in maintaining this information. Adherence to organizational policies and procedures and bringing ethical concerns to management.

Job Responsibilities for General Counsel include the following:

General Counsel

Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters.

Serves as key lawyer/legal advisor on all major business transactions, including financial investments, acquisitions, divestitures and joint ventures.

Judges the merits of court cases filed against or on behalf of the company, works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted.

Assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable laws and regulations and operates in strict compliance to ethical practices.

Structures and manages the company’s internal legal function and staff.

Oversees the selection, retention, management and evaluation of all outside counsel.

Advises on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities.

Makes it a top priority to focus on security, license agreements, intellectual property, and personal information as it pertains to LCPtracker’s business use. Select and retain industry experts as necessary.

Attorney

Brings and pursues lawsuits, including drafting/arguing pre-trial motions, handling depositions, participating in trial with and without a jury, and handling appeals.

Identify risks and propose alternative structures to mitigate risks involved in potential transactions. ​

Assists management on general contracts, third-party agreements and vendor supplier relationships.

Writes, reviews, and maintains contracts and agreements with LCPtracker, Inc. and various parties (i.e.: third-parties, customers, users of LCPtracker software, employees, shareholders, board members, officers, directors, etc.)

Assists management with employment law concerns, contracts, claims and creating company policies.

Ensures compliance with trademarks, patents, intellectual property and trade secrets.

Creates business legal reports and correspondence, and effectively presents information to senior management.

Responds to inquiries from regulatory agencies, customers and the business community.

Ensures corporate policies are accurate, current and in compliance with federal and state regulations. Reviews and updates policies as laws change.

Compliance

Serves as the corporate compliance officer as appointed by the board of directors

Interprets and disseminates information on regulatory matters.

Communicates current state of legislative issues to management and the board recommending the company’s position.

Develops and updates compliance issues in manuals, as needed.

Develops/modifies company forms and contracts used in business operations.

Makes presentations to the board of directors on status of legislative information.

Qualifications

Qualifications:

Juris Doctor degree from accredited, top-tier law school.

Licensed to practice law in the state of California

5+ years practice with an established law firm.

Proficient legal experience in the software as a service industry, data privacy and PII law/contracts.

Experience with government/agency contracts and contract negation.

Experience with corporate governance issues

Excellent verbal and written communication skills.

Knowledge of statutes, rules and regulations pertaining to businesses.

Proficient understanding of business sensitivities and confidentiality.

Other Requirements:

Attendance at our annual corporate Staff Retreat, which takes place in December. This 2-3-day retreat typically takes place locally in Southern California. (as assigned)

Attendance at our annual User Conference as assigned.

As necessary, travel to localities where there is litigation, trial, hearings, or other legal/employee related event requiring in-person presence.

Physical Requirements:

While performing the functions of this job, the employee is regularly required to sit; frequently required to talk and hear, use hands and fingers to type, scroll and use computer equipment.

The employee is required to have close visual acuity to perform an activity such as: preparing and analyzing data and figures; transcribing; viewing a computer terminal; extensive reading; visual inspection of text and data in both print and electronic forms.

Position Type and Expected Hours of Work:

This is a full-time exempt position reporting to our Orange, CA office. Days/hours worked are dependent on the workload at the time. General availability is expected during regular business hours from 8am – 5pm Monday-Friday.
