The EVP, General Counsel is responsible for variety of legal matters and issues, including corporate governance, contracts, banking & credit related transactions, SEC compliance issues, BSA and other regulatory matters. Assists in the oversight of litigation and investigations affecting the bank and manages relations with shareholders and outside legal firms.

Essential Duties and Responsibilities

Perform Corporate Secretary duties to include: corporate governance, attending board meetings, coordinating preparation of agendas and minutes, preparation of notices and filings, and all other Board related matters.

Manage Shareholder interactions, notifications, communications and record-keeping.

Consult with management in the development of corporate policies and procedures to ensure compliance with relevant laws, rules, regulations, and best practices.

Report to the ELT on legal matters regarding policies and procedures and third party management.

Coordinate with outside counsel on major litigation cases.

Manage regulatory interactions and processes, participate in compliance reviews, prepare for and assist with regulatory examinations, including attendance at closing meetings and constructing responses to examination reports and requirements. Keep Board informed of all regulatory issues.

Assist in development and monitoring of all Risk Management Programs; provide BSA and compliance expertise and advice, including guidance, research and interpretation of applicable statutes and regulations for compliance.

Monitor legal and regulatory environment, changes in state or federal laws, rules and regulations, court decisions, etc.

Provide guidance and handle matters relating to the Bank’s SEC regulatory requirements and public filings.

Provide legal advice and business counsel to bank management, draft and maintain legal agreements, contracts and other legal forms as needed, review and monitor contracts, legal documents, leases and NDA’s.

Develop, execute and monitor strategies to manage the performance of outside counsel in order to maximize results and efficiencies and contain costs: Selection of outside legal firms (preferred vendor list), fee negotiations, maintain a positive reciprocal business relationship, tracking of assignments, and reviewing billable hours for accuracy.

Responsible for overall loan sale reviews

Assist in the handling of routine troubled assets demand letters and/or foreclosure matters.

Serve as a resource to management in determining strategies and tactics to advance the bank’s mission.

Qualifications

Education and/or Experience

Law degree (J.D.) from an accredited law school. Minimum of 5 years’ experience as an attorney with General Counsel legal experience focused on publicly traded regulated financial institutions and corporate environments. Detail oriented and able to function in a fast paced and changing environment. Excellent verbal, written and interpersonal communication skills with ability to be concise, clear, and consistent.

Language Skills

Ability to read, analyze, and interpret client documents. Ability to write complex reports and correspondence. Ability to speak effectively before groups of clients or employees of organization.

Reasoning Ability

The ability to accurately record information, communicate effectively and able to work quickly while honoring client confidentiality.
