As the General Counsel, you will be responsible for leading our corporate strategic and tactical legal initiatives. This role will provide senior leadership with effective advice and implementation strategies concerning legal rights, obligations, and privileges in complex business transactions as well as negotiating critical contracts and managing the legal function.

Essential Duties & Responsibilities

Participate in the definition and development of corporate policies, procedures and programs, with continuing counsel and guidance on legal implications of all matters.

Draft, review, negotiate and serve as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures that minimize risks and maximize corporate legal rights.

Assume ultimate responsibility for ensuring the company conducts business in compliance with applicable SEC et al. laws and regulations, corporate governance

Prepare filings arising in connection with M&A and other corporate transactions, including SEC filed reports such as registration statements, Forms 10-K, 10-Q, 8-K, and Section 16 reports.

Prepare Board and Committee schedules, materials, agendas, resolutions, minutes and reports.

Provide legal support to investor relations and communications functions, including with respect to investor materials and communications, news releases, website and social media postings, institutional and retail shareholder outreach and engagement programs.

Support development and implementation of new products to include intellectual property protection, contract creation, and provide related legal advice as necessary.

Provide legal advice and guidance on labor, immigration and employment issues.

Define a strategic defense for cases filed against the company, recommending settlements of disputes where warranted.

Assist in managing equity plans and related transactions.

Oversee the selection, retention, management and evaluation of outside counsel, if needed.

Proactively identify potential risks and trends throughout the organization and ensure that appropriate and effective risk mitigation strategies are in place.

Remain current on constant changes within the legal and regulatory environment and communicate regarding potential corporate impact

Qualifications

Required Skills

Juris Doctor degree from accredited law school.

5+ years practice with an established law firm or corporation.

Proficient legal experience in fund investments, venture capital financing and M&A.

Experience with corporate governance issues and corporate secretarial duties.

Excellent verbal and written communication skills.

Knowledge of statutes, rules and regulations pertaining to businesses and public companies.

Proficient understanding of business sensitivities and confidentiality.

Ability to anticipate legal issues or risks and to “see around the corner”.

Ability to manage and lead cross-functional teams/projects with a diverse group of stakeholders across organizational lines.

Strong business acumen and judgment to provide ethically creative solutions.

Navigate with limited resources in a positive “roll up the sleeves” attitude.
