The VP General Counsel and Chief Compliance Officer is responsible for setting long-term strategic vision and planning for the legal and compliance initiatives across the organization. This includes providing expert and strategic legal advice to management, and serving as the legal advisor on all major contractual transactions and litigation.

RESPONSIBILITY LEVEL:

Sets long-term strategic vision (10+ years) and oversees planning for legal and compliance initiatives. Is involved in setting organizational strategy and vision. Continually aligns financial and operational performance to create economic value and reports to the Executive Team on any and all aspects of division. Typically focuses on projects and initiatives that span 5-10 years, evaluates and monitors market trends. This position will provide senior management with advice on executing company strategies and their implementation, evaluating and mitigating risks, leading the legal and compliance functions, and obtains and supervises the work of outside counsel. The general counsel is directly involved in complex business issues, commercial contracts, real estate transactions, litigation, and assisting with critical contract negotiations.

PRINCIPAL DUTIES:

1. Leading and Developing Talent: Directs organizational design for multiple departments and oversees development and training of staff. Ensures ongoing succession planning and development within and outside of unit. Actively networks and sources for positions throughout the organization.

2. Project and Change Management: Establishes project priority and timing, articulates vision for organizational changes. Authorizes use of organizational time, talent and financial resources to support projects and improvement initiatives. Manages change through effective communication and coaching throughout the organization. Builds and participates in leadership coalition supporting and implementing the change and frequently serves as Project Sponsor for major initiatives.

3. Community Engagement: Demonstrated leadership presence in the community through serving on volunteer boards, steering committees or other community committees that align with our intended impact.

4. Board of Director meetings: provides updates on financials, operations and progress towards goals for area/s of responsibility.

5. Provide expert and strategic legal & business advice to management to ensure decisions are made quickly, ethically and with integrity.

6. Serve as key legal advisor on major business transactions including; commercial contracts, M&A, real estate transactions and employment issues.

7. Serve as key legal advisor on all major litigation. Judge the merits of major court cases filed against or on behalf of the company, work with the appropriate executive(s) to define a strategic defense and establish settlements of disputes as warranted.

8. Oversee internal compliance function to ensure that the company and its employees conduct business in compliance with applicable laws and regulations.

9. Continually align financial and operational performance to create economic value.

10. Advise on corporate governance and legal entity structures.

11. Keep abreast of legal, regulatory and legislative changes affecting the organization. Recommend appropriate solutions to ensure the organization is in compliance with any pending changes, including creation and revision of organizational policies and procedures.

12. Identify and evaluate legal risks by anticipating problems, tracking organizational developments and recommending solutions to mitigate risks proactively and limit company exposure to liability.

13. Maintain positive working relationships with external parties (regulators, customers, vendors, government and other agencies and community organizations)

14. Oversee the selection, retention, management and evaluation of all outside counsel.

15. Responsible for all other duties/responsibilities as assigned.

REQUIREMENTS:

* Juris Doctorate, and State Bar membership required

* Minimum of 10 years related and progressively more complex broad based general corporate experience with practical knowledge on how legal issues affect organizations

* In-depth understanding of employment matters and real estate transactions. Experience with Federal and state contract compliance a plus.

* Minimum of 8 years legal experience working on matters of corporate governance and directly with board of directors.

* Minimum of 8 years’ experience managing other attorneys and supervising support staff in a medium or large complex organization.

* Demonstrated experience with management of outside legal resources.

* Experience in a Corporate setting preferred

Job requires the following: remain stationary for sustained periods of time; ability to move about to accomplish tasks; must be able to operate a computer or similar technology, which typically involves substantial motions of wrist, hands and/or fingers; visual acuity to perform activities such as preparing data, operating equipment or review thoroughness of work; ability to communicate with others and exchange information.
