We are seeking a full-time General Counsel to serve as a key legal advisor on all major business decisions. The General Counsel is responsible for leading strategic legal initiatives within the company, negotiating critical contracts, drafting Master Service Agreements, ensuring regulatory compliance, and overseeing the work of outside counsel, as needed. General Counsel will interpret laws, rulings and regulations to advise on legal matters including contracts, employment law, compliance and corporate governance.

Responsibilities and Duties

Develop and maintain the company’s internal legal function and staff

Structure, negotiate, draft and close a wide variety of contracts, including Software as a Service (SaaS) Agreements and Master Service Agreements

Provide subject matter expertise in areas of consumer protection and privacy laws, GDPR and other global privacy terms and data policies

Provide legal advice on the Company’s international expansion

Manage internal compliance programs

Manage all outside counsel

Qualifications and Skills

Required:

Juris Doctorate degree

Admission to practice law in at least one U.S. state or the District of Columbia (preferably admitted to practice law in Texas)

Minimum of five (5) years of post-Juris Doctorate legal experience

Strong legal drafting and negotiation skills

Excellent written and verbal communication skills

Ability to work independently, grasp complex problems quickly and provide reasonable direction and counsel

Ability to work cooperatively to support various business teams

A self-starter who has initiative and is quick study, who will thrive in a fast-paced environment

Recommended but not required:

Experience drafting, reviewing and negotiating Master Service Agreements and various contracts

Membership in the Texas State Bar

Experience in the oil & gas industry

Experience with SaaS companies
