Providence St. Joseph Health System is calling an Executive Vice President and Chief Legal Officer in Renton, WA. The executive vice president and chief legal officer (EVP/CLO) of Providence St. Joseph Health (PSJH) has overall responsibility for providing, managing, and coordinating the legal activities and affairs of PSJH and its ministries through the Department of Legal Affairs.

The EVP/CLO is an officer of PSJH and a member of the Executive Council, the top-level management decision-making group in the organization, which is accountable for setting strategic direction, leading efforts to achieve organizational commitments, determining operational priorities, and ensuring that PSJH operations and services are integrated and achieving operational, clinical, and administrative excellence. As a result, the EVP/CLO must be able to help develop and lead enterprise strategy as well as “own” legal counsel and analysis with a balance of risk and reward in fulfilling on the PSJH mission

and goals.

He or she will deliver timely and effective legal advice and services to the sponsors, board of directors, Providence Strategic Management Services, and system and regional management, as well as to individual hospital governing councils and management teams, medical groups, managed care operations, home health companies, foundations, and for-profit entities, in order to maintain operations consistent with applicable legal principles, facilitate compliance with regulations, and protect PSJH interests in transactions, contracts, affiliations, mergers, and other business ventures, furthering the development of an integrated network of providers and services.

The EVP/CLO will also provide leadership relative to physician alignment strategies, tax-exempt bonds, litigation, research and intellectual property matters, health information technology policy and systems, labor and employment, medical staff matters, patient care matters, graduate medical education, reimbursement, client education and training, and outside counsel management – all in the interest of obtaining optimal legal advantage for PSJH consistent with the organization’s mission and values.

The EVP/CLO will be required to create and manage a legal team that exhibits the competencies of an interdependent, high-functioning unit. The legal department is comprised of experienced lawyers – some of whom are specialists (e.g. transactions, real estate, labor and employment, managed care contracts) and some of whom are generalists – as well as legal specialists (paralegals) and support staff.

The EVP/ CLO has overall responsibility for effectively and efficiently coordinating governance functions within the system to ensure appropriate and effective governance, supervising the governance office staff and working closely with the CEO, board chair, governance committee chair, and other members of the board of directors. The EVP/CLO is the corporate secretary for PSJH and its affiliated entities, pursuant to the organization’s governing documents, providing leadership, legal advice, counsel, strategic direction, and legal support to all PSJH-owned or –affiliated entities.

QUALIFICATIONS:

IDEAL QUALIFICATIONS

A Juris Doctor degree or equivalent from an ABA-accredited law school is required; an additional master’s-level degree in a healthcare-related field is preferred.

A minimum of 18 years of significant experience in corporate and healthcare law is required, including a minimum of seven to ten years in a substantive leadership position within a health system, law firm, healthcare organization, or consultancy

Strong preference will be given to those having experience in providing healthcare and corporate legal advice to a major healthcare system operating in multiple locations, encompassing both healthcare delivery and financing functions

Admission or eligibility for admission to the Washington or California State Bar is required

A balanced understanding of the clinical, business, legal, financial, operational, strategic, and human dimensions of various types of healthcare services, including knowledge of integrated delivery systems and managed care organizations

A strong preference will be given to those having experience in governance, especially governance of non-profit health organizations
