Reporting to the CEO, the general counsel is responsible for leading corporate strategic and tactical legal and contractual initiatives. The general counsel provides senior management with effective advice on company strategies and subsequent implementation, manages the legal and contracts function, and obtains and oversees the work of outside counsel. The general counsel is directly involved in complex business transactions in negotiating critical contracts, including contracts and subcontracts involving performance of work for the U.S. Government under Federal Acquisition Regulations (FAR).

Minimum Required Qualifications

Law degree.

Minimum of ten years’ legal experience in a law firm or corporate environment.

Direct experience with the Federal Acquisition Regulation (FAR) and agency supplements (such as the DoD FAR Supplement), including interpretation and application of applicable U.S. government contract procurement statutes, implementing regulations, and contract clauses, and the negotiation of subcontract terms and conditions under U.S. Government prime contracts or higher-tier contracts.

Experience managing others and supervising support staff in a corporation; experience with cost-effective management of outside legal resources.

Experience in directing strategy and managing complex Intellectual Property, Data Rights, Non-Disclosure Agreements, and patent defense positions.

Preferred Education and Experience

Active or ability to obtain a U.S. Security Clearance

Admitted to the bar

Exposure to, or familiarity, with the following areas of law: assertion of commerciality under the FAR, securities, antitrust, computer law and privacy, cybersecurity, the Buy American Act, Trade Agreements Act, and similar domestic preference programs under U.S. Government contracts.

Export Compliance, including requirements under the International Traffic in Arms Regulations (ITAR) and the Export Administration Regulations (EAR)

Familiarity and understanding of FASB revenue recognition guidelines.

Experience working on matters of corporate governance and with a board of directors.

Experience with employment law and practices.

Familiarity with marking requirements for purposes of export controls, U.S. Government data rights, security

Essential or Primary / Key Responsibilities

Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters.

Serves as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures.

Judges the merits of major court cases filed against or on behalf of the company, works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted.

Assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable laws and regulations, including but not limited to, export/import, and U.S. Government procurement laws and regulations.

Contract review, negotiation, and acceptance for salable and non-salable agreements.

Structures and manages the company’s internal legal and contracts function and staff with responsibilities including, but not limited to: Contract Review for various transactions (e.g., contract interpretation, financial, intellectual property, subcontracting, long term agreements, and non-standard employment agreements)

Oversees the selection, retention, management and evaluation of all outside counsel.

Advises on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities.

Manage Marotta’s Code of Conduct and Ethics Compliance program, while serving as the company’s Ombudsperson

Address potential issues proactively and apply real-time problem solving skills to achieve prompt resolution

Bring initiatives and activities to closure in a timely manner through effective interaction with individuals, both internal and external to the Marotta organization (as required)

Ensure self, direct reports, and personnel company-wide, are abiding by all safety, quality, housekeeping and company policies/procedures to ensure compliance to all regulatory and internal system requirements.

Foster a positive and cooperative work environment through effective communication at all levels internal and external to the organization

Lead, and/or actively participate in team meetings, improvement initiatives/programs, etc. to provide constructive recommendations and initiate actions to support company initiatives/goals

As required, support shareholders when the counter party is not Marotta Controls or other shareholders

Consistently demonstrate commitment to company values

Keep Company stakeholders informed of area activities and of any significant problems

Work Environment

This job interacts both in a professional office environment and a manufacturing/machine shop environment.

This is a full-time position. Days and hours of work are 8 hours, Monday through Friday. Weekend work may be required, as job duties demand.

This position may require up to 15% travel. Frequently travel is outside the local area and overnight.

The employee is required to stand, sit at length, walk, and move about the facility.

The employee may be required to lift and/or move items weighing up to 25 pounds.
