General Counsel

Benco Dental is seeking a General Counsel, who is responsible for overseeing the legal and regulatory affairs of the company. This position ensures compliance with all state, federal and industry regulations, will address all incoming legal and regulatory affairs requests and facilitate all inquiries forwarded to external counsel.

The Experience We Are Looking For:

Lead and mentor a team of legal and compliance professionals, ensuring company compliance on all levels.
Review, negotiate, and draft a wide variety of business agreements
Raise, negotiate and resolve disputes between the company and 3rd parties
Coordinate and direct litigation undertaken by outside counsel
Coordinate and undertake acquisition activities including due diligence investigations, negotiations and document preparation
Oversee the maintenance of corporate registrations, records and minutes for parent company and subsidiaries, as well as the company’s legal files and information databases
Provide guidance relating to employment related matters and oversee dispute resolution associated with incoming and outgoing sale representatives’ non-compete obligations
Manage and team with external counsel regularly
Establish and oversee legal and quasi-legal processes & policies and undertake special projects as needed
Responsible for maintaining all corporate compliance
Oversee the protection, prosecution and maintenance of the company’s trademark portfolio
Demonstrate a broad range of experience and knowledge in commercial and government contracting, intellectual property management, and real estate law
Manage and foresee internal and external risks as they arise
Up to 10% travel.
The ideal candidate will possess:

Juris Doctor degree from an accredited law school
5+ years working as in-house counsel at a medium sized company or a division of a large corporation, ideally in a lead role
Management experience
Extensive project management experience with decision making skills to prioritize key projects
Excellent judgment, interpersonal, communications, and analytical skills
Skills in litigation management, employment law, competition law, corporate law and mergers & acquisitions
