VP/General Counsel

Your responsibilities                                                                                         

Reporting to the Head of Region North America /Regional CFO; with functional reporting to Group General Counsel & Chief Compliance Officer, we are seeking a Head of Legal, Compliance, and Risk Functions for the North American region. Advise senior management on wide range of legal issues relating to company’s business, including new business endeavors, corporate organization and governance, state and federal regulatory issues, employment/labor law issues, dispute avoidance and resolution, and all aspects of commercial law.  Serve as Corporate Secretary for U.S. and Canadian legal entities.  Manage internal controls and enterprise risk management functions, leading the consolidated second line of defense for the organization’s risk management function.  Recruit, lead and manage department staff.  Lead, participate in and/or manage commercial and employment disputes.  Manage company's litigation and lead, review, negotiate and draft all needed effective commercial contracts, vendor contracts, intellectual property licenses with third parties and any other legal document needed to execute the business transactions. 

General Corporate and BOD functions, including acting as Corporate Secretary.
Contracts and Partnerships: Lead, review, negotiate and draft all needed commercial agreements with customers, business partners and/or strategic alliance/M&A deals and other commercial agreements and provide counsel on legal issues to business units.
Regulatory: Remain current with respect to and advise senior management on all developments in relevant state and federal regulations, especially CPSC, DOE and FTC.
Company Policies: Revise global Policies in accordance to regional legal requirements and processes; draft, update and revise regional policies in accordance to regional legal requirements and processes;
Compliance: Implement and maintain the Group Compliance Management System throughout Region North America. Execute global legal/compliance strategy as member of the Global Legal & Compliance Leadership Team.
Employment.  Support and advise HR on new and existing employment laws, compliance requirements, employee relations matters and employment-related disputes when necessary.
Real Estate: Draft, review, and negotiate commercial leases and agreements for all BSH locations in the Region North America.
Marketing and Advertising / Internet of Things: Ensure operations and practices are in compliance with applicable advertising and market access laws and regulations at all times, and recommend changes to policies or procedures with the goal of minimizing risk.
Internal Controls/Enterprise Risk Management: Serve as region’s Chief Risk Officer.  Manage company’s internal controls system and risk reporting functions, including effective risk assessment, control documentation, control testing, and support in the identification of risk mitigation measures.
Provide advice and counsel to the business units and management on developing new products and new business structures.
Perform all other duties as assigned.
Your profile

Excellent credentials from an accredited Top-Tier Law School and undergraduate school. 
Active member in good standing of the California Bar
10+ years of legal experience, preferably a mix of mid/large law firm and in-house in a multinational manufacturing and/or distribution company, or equivalent
Demonstrated experience successfully and cost-effectively managing litigation and related disputes
Practical experience implementing and managing regulatory and corporate compliance programs (e.g. prior experience as Compliance Officer)
Experience interfacing with internal business units (i.e., senior management, management from all business areas) and external contacts (i.e., Federal/State government agencies, outside counsel, customers).
Prior corporate governance/secretary experience highly preferred
Significant experience efficiently managing outside counsel, including demonstrated cost control methods
Demonstrated experience working with and influencing senior management and boards of directors
Significant management and department leadership experience, including managing attorneys
Experience with complex commercial transactions, including technology transactions and licensing, required, and M&A experience highly preferred
Experience strongly preferred in Product Liability, Warranty, Sales/Marketing, Risk Management, Procurement, Antitrust, Process Management, Project Management, Employment Law/Human Resources, Distribution/Manufacturing, Compliance, Finance/Credit, and Purchasing
Excellent verbal and written communication and presentation skills.
Strong leadership skills.
Strong document drafting and negotiation skills.
Skilled in problem solving and decision making.
Proficient with Microsoft Office, Word, Excel and PowerPoint.
The position will involve occasional travel within the continental U.S. and internationally.
