TS Banking Group is seeking to hire the office of General Counsel who will plan, organize, and direct the legal resources and support services for the company. This role will provide effective legal services, advice, and representation to ensure that all activities and relationships with clients and employees are carried out within the confines of laws and regulations. Responsible for negotiating, writing, reviewing, summarizing, researching and executing a wide variety of agreements for companies and clients, including marketing agreements, license agreements, terms and conditions, real estate leases, confidentiality agreements, and other general business contracts.

Education and/or experience preferred includes: Law degree from an accredited university or college and successful completion of a state bar examination. Five to ten years of increasingly responsible experience representing a financial institution. Overall broad legal knowledge including corporate law, labor law, litigations, etc. Experience working with board of directors, senior management, and SEC matters. Prefer work experience in compliance, dealing with federal and state regulators, and knowledge of banking operations and laws and regulations.

Location of position: This position has the potential to be based from any of our company locations in Iowa (Treynor-headquarters, Council Bluffs, Atlantic, and Corning), North Dakota (Tioga and Crosby), or Illinois (Clinton).

Experience and Skills:
ESSENTIAL DUTIES AND RESPONSIBILITIES includes the following. Other duties may be assigned.

Provides legal counsel to the company and its officers and directors on matters of compliance, research, development, training, employment, compensation, benefits, communications and other related issues in the company’s daily operations.
Advises the company on legal rights and obligations.

Manages the relationship of the company with outside legal counsel and others having business with the company.

Acts as the agent of the company in real estate transactions, litigation, legislative and regulatory hearings, and other related areas. Assists regulatory and independent auditors and examiners as necessary.

Develops, administers and monitors financial institution programs that ensure compliance with laws, regulations and other rules that govern the company’s operations and products offerings.

Responsible for negotiating, analyzing and drafting legal documents, such as deeds, leases, mortgages and commercial transactions. Reviews accounts recommended for foreclosure.

Reviews and approves documentation for billings, probate claims, wage garnishments, title disputes and other related issues for the company.

General knowledge and understanding of banking and financial markets, financial and economic analysis.

Strong analytical and critical-thinking skills; excellent written and verbal communication skills including the ability to communicate effectively with non-lawyers.

Ability to succeed in a collaborative environment, and to shift gears quickly in a fast-paced and demanding environment in response to the changing needs of the company.

Comply with all company and banking regulations, policies and procedures.
NON-ESSENTIAL DUTIES & RESPONSIBILITIES. Maintain educational and professional expertise through attendance at job related seminars, conferences and workshops, and involvement in professional, civic, and community groups in leadership positions. Other duties may be assigned.

SUPERVISORY RESPONSIBILITIES. There are no supervisory responsibilities in this position at this time.

LANGUAGE SKILLS. Ability to read and interpret documents such as safety rules, operating and maintenance instructions, and procedure manuals. Ability to write routine reports and correspondence. Ability to speak effectively before groups of clients or employees of organization.

MATHEMATICAL SKILLS. Ability to add, subtract, multiply, and divide in all units of measure, using whole numbers, common fractions, and decimals.

REASONING ABILITY. Ability to apply common sense understanding to carry out detailed but uninvolved written or oral instructions. Ability to deal with problems involving a few concrete variables in standardized situations.

OTHER SKILLS AND ABILITIES. Must have the ability to operate personal computer and printer, copy and fax machines and telephone.

Has frequent contact with all internal departments, senior management, and board of directors.
Has periodic contact with external clients.

CERTIFICATES, LICENSES, REGISTRATIONS. To effectively perform the job, must have reliable transportation to travel to and from work and other work-related events, meetings, interactions with clients, etc.
