Position Summary

The General Counsel (GC) will be a key member of the senior management team of Well, serving as a trusted partner while leading corporate strategic and tactical legal initiatives. Senior management will rely on the GC for high quality, effective advice on company strategies and their implementation, including guidance on product development and oversight of clinical team activities. The GC will manage the legal function as well as obtain and oversee the work of outside counsel. The GC will also be directly involved in complex business transactions in negotiating critical contracts and ensuring legal and regulatory compliance.

Responsibilities

Key leader in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of all matters.

Serve as lead lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures.

As part of the senior management team, respond to requests for advice on legal and business issues, including contract negotiating, business risk, dispute resolution and other issues.

Coordinate and manage the company’s corporate compliance program, assuming ultimate responsibility for ensuring that the company conducts its business in compliance with applicable federal and state healthcare and other laws and regulations. Critical oversight of data privacy and HIPAA compliance.

Collaborate with the contact center team to define the boundaries of consumer advice based upon the state definitions of clinical practice for nurses, physicians, pharmacists, and behavioral health providers.

Advise on licensing requirements for all licensed providers employed by Well.

Ensure that Well’s approach to care coordination and care management upholds the standard of care as legally defined.

Over time, structure and manage the company’s internal legal function and staff.

Oversee the selection, retention, management and evaluation of all outside counsel.

Advise on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities.

Clear and compelling verbal and written communication skills, including formal presentations for all levels of management

Demonstrated collaborative style, with the ability to influence diverse teams and build strong relationships across various internal stakeholders and constituents

Qualifications and Key Requirements

J.D. degree

Admitted to the practice of law in one or more states

At least 7 years of legal experience, in positions of responsibility, with work on complicated issues and experience advising decision makers in high-stakes matters.

Experience in the healthcare industry

Location Specifications

This role will be located in Boston, MA or Chapel Hill, NC
