The General Counsel/Chief Compliance Officer shall ensure that CommonWealth Partners (“CWP”) employs best practices in all its functions.

Essential Functions:

Legal
Identify and oversee the legal issues of the firm and provide expert and strategic legal advice to ownership and management.
Examine and create legal agreements, such as joint venture agreements, operating agreements, employment agreements, lease agreements, purchase and sale agreements, licensing agreements, vendor contracts, organized labor contracts, etc.
Engage and manage various third-party consultants and advisors including lawyers, regulators, insurance consultants, environmental consultants, etc.
Interpretation of and compliance with all local, state, and federal laws and regulations.
Maintain knowledge of CWP’s operations and legal documents.
Conduct legal research and review CWP’s legal strategy pertaining to potential legal actions.
Handle statutory filings, such as licensing forms, LLC filings, etc.
Liaise with outside counsel.
Management of organizations’ intellectual property.
Risk Management
Identify and assess all organizational risks and establish a risk management infrastructure. Oversee and manage, in conjunctions with senior management, risks such as counterparty, regulatory compliance, operations (including procedures and reporting), corporate liabilities, corporate insurance (E&O, D&O, professional liability coverage) information technology, human resources, fiduciary, ESG, and employee security.
Review Corporate principles, policies, limits, standards, guidelines, and other significant procedures established by management to ensure a comprehensive “Best Practices” Risk Management System is in place throughout the organization.
Oversee the division of risk-related responsibilities and perform gap analysis to determine that the oversight of any risks is not missed.
Assist in the design, implementation, updating, and monitoring of the Company’s enterprise-wide risk management framework, including all CWP ESG Policies to ensure implementation of “Best Practices” throughout the organization.
Oversee and monitor compliance within the organization with respect to CWP ESG policies, capital relationship documents, joint venture relationships, and separate accounts.
Establish, implement, and monitor a Document Retention Plan for the firm and other “housekeeping” and data management functions.
Develop cybersecurity protocols and stay abreast of cybersecurity issues.
Review and monitor HR-related legal, compliance, and disclosure matters.
Knowledge, Skills, and Experience:

Minimum education required: JD degree from accredited, top-tier law school.
Minimum experience required:
Five or more years practice with an established law firm.
Proficient legal experience in commercial real estate.
Experience with corporate governance issues and corporate secretarial duties.
Experience with commercial real estate transactions, including leases, purchase and sale agreements, loan documents, operating agreements, etc.
Excellent verbal and written communication skills.
Knowledge of statutes and rules and regulations pertaining to businesses.
Proficient understanding of business sensitivities and confidentiality.
