We are looking for a GENERAL COUNSEL to join our team in DENVER or COLORADO SPRINGS, CO.

What You'll Do
As a member of Cherwell’s executive leadership team, the General Counsel will be responsible leading the Company’s legal function. She/he will grow and manage a legal team that can scale with a rapidly growing, private-equity backed technology company. The General Counsel and her/his team will provide timely, practicable and sound advice, as a trusted business partner, to all aspects of the Company’s business, including research and development, marketing, sales, services and support, finance and HR. The General Counsel must be commercially-oriented and able to optimize legal operations and processes that support high-growth while minimizing risk and ensuring compliance with laws. The General Counsel will be based in Denver or Colorado Springs, Colorado.

This role is ideal for someone who is a proactive self-starter, enjoy working on a variety of subject matters and has a thirst for knowledge and continued growth, all while working as part of a world-class team.

What You Should Have
JD from an accredited U.S. law school and is a member in good standing of a U.S. state bar (and eligible to register in Colorado as in-house/single-client counsel)
12+ years of legal experience gained through a combination of major law firm and in-house company roles, with a minimum of 5 years of senior-level experience managing other attorneys
Specific transactional experience working in software technology, including all aspects of IP law that follow, such as managing and licensing IP rights (to customers and to/from third parties), patent, trademark, copyright, and trade secrets
Significant international experience, such as expanding into new countries, managing PE and related tax issues, transfer pricing, international employment laws and the localization of contracts and legal operations
Even Better if you Have
SaaS environments and/or for high-growth, private-equity back companies
Cyber security and data privacy/protection/use (e.g., GDPR and state privacy laws; ISO and SOC compliance and audits)
IPO/pre-IPO experience and a working knowledge of securities laws
Equity-based compensation programs
Corporate governance and compliance (e.g., corporate formation; management of affiliates; board governance; export regulations; FCPA)
Managing insurance and risk programs
