The general counsel leads and collaborates in corporate strategic and tactical legal initiatives. Provides management with effective advice on company strategies and their implementation, manages the  legal department and the legal affairs of the company, and obtains and oversees the work of outside counsel. The general counsel is directly involved in complex business transactions, negotiating critical contracts, and in resolving and when necessary making or defending key claims on the company’s behalf. Participates in the definition and development of corporate policies, procedures and programs, and provides continuing counsel and guidance on legal matters and on legal implications of all matters. 

Qualified applicants must have a Juris Doctorate (JD) degree, in addition to 10 years of construction/construction law experience. Must have the ability to work well with all types of individuals, possess strong leadership skills, as well as excellent communication, and computer skills. 

Duties:

Serves as key lawyer and legal advisor on major business transactions, including acquisitions, major projects, and joint ventures.
Maintains a high level of expertise and active internal and external networks on key legal developments in construction, employment, contract, ESOP, compliance, risk, and other areas of key concern to the company’s success, profitability, and strategic goals. Shares knowledge and perspective, and collaborates and leads in training and developing others in the company on these matters.
Judges the merits of cases filed against or on behalf of the company, works with the appropriate executives and managers, and outside counsel when retained to set strategy, prosecute claims and defenses, and settle disputes where warranted.
Responsible to advise executives, managers and the Board on matters of legal compliance and risk so that the company conducts its business in compliance with applicable laws and regulations.
Structures and manages the company’s internal legal function and staff, including licensing, qualifications, bonds, contract creation, review, and execution and tracking.
Selects, oversees, and evaluates outside counsel.
Advises on legal aspects of the company’s governance, relationship with the ESOP, and regarding current and future business structures and legal entities. Assists management with employment law concerns, contracts, claims, and creating company policies.
Ensures compliance with trademarks, patents, intellectual property, and trade secrets.
Creates and manages business legal reports and correspondence, and effectively presents information to senior management, project teams, and departments.
Advises on and participates as appropriate to inquiries from regulatory agencies and business partners.
Collaborates in the drafting, review and negotiation of key owner contracts, subcontracts and purchases.
Helps to avoid, respond to, negotiate, and resolve disputes.
Is a resource and guide on matters addressed in the company’s Ethics Policy.
