General Counsel

GENERAL DESCRIPTION/POSITION GOAL:  The general counsel is responsible for guiding tactical legal initiatives, and provides general counsel to senior management effectively advising on company legal function, including transactional data and various other legal needs. The general counsel is directly involved in complex business transactions in negotiating critical contracts including acquisitions and mergers.

Participates in the definition, development and interpretation of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters.
Advises on all major business transactions, including acquisitions, divestitures and joint ventures.
Manages major court cases filed against or on behalf of the company, working closely with appropriate managers to develop a defense and executes approved settlements of disputes where warranted.
Assumes responsibility for ensuring company business is conducted in compliance with applicable SEC et al. laws and regulations etc.
Participates in the selection, retention, management and evaluation of most outside counsel.
Advises legal compliance of the company’s financing, including assessing and advising on current and future business structures and legal entities.

WORK ENVIRONMENT:  This job operates in a professional office environment. This role routinely uses standard office equipment such as computers, phones, photocopiers, filing cabinets and fax machines.

POSITION TYPE/EXPECTED HOURS OF WORK:  Position is full-time. Days and hours of work are ideally Monday through Friday, 8:30 a.m. to 5 p.m. Occasional evening and weekend work may be required as job duties demand.

TRAVEL: Position requires up to 35 percent travel.

REQUIRED EDUCATION AND EXPERIENCE:  Law degree, admitted to the bar, minimum of four years’ experience in a law firm environment. Experience working on matters of corporate governance preferably with an LLC.

PREFERRED EDUCATION AND EXPERIENCE:  Ten years’ experience as a practicing litigation lawyer, preferably initially with a prominent national law firm before moving to an in-house position. Broad, overview experience in intellectual property law, including patent law, licensing of IP rights and IP due diligence. Exposure to or familiarity with the following areas of law: medical, billing, radiology, finance, compliance, insurance and computer law and privacy.
