Frank, Rimerman + Co. LLP is enhancing our executive team with a newly created General Counsel and Director of Risk Management role.  The best candidate will demonstrate sound business judgment and effectively communicate practical solutions to business challenges.  The successful candidate will be able to assist the partnership with ensuring legal compliance and limiting risk exposure. This role is charged with developing, implementing and monitoring our enterprise risk management strategies. As such, this position will be expected to develop strong relationships with practice leaders in order to stay connected to the evolving risks in our business.

Responsibilities:

  • Consult with firm leadership regarding the management of Firm risk, including exposure, governance, enterprise risk management (IT, Human Resources, Finance) and professional liability.
  • Develop risk management tools, practices, and policies to analyze and report the Firm’s enterprise risks.
  • Ensures the Firm’s risk management policies and strategies are compliant with applicable regulations and strategic imperatives of the Firm.
  • Draft, review and edit contracts, including client engagement terms, supply agreements, software license agreements, non-disclosure agreements, leases, client trust and LLC agreements where Firm Partners serve in management/trustee roles. 
  • Manage relationships, coordinate litigation and all other legal matters handled by outside counsel.
  • Direct the Firm on a variety of legal issues, including responses to subpoenas, depositions, settlement and release documents, litigation management and client bankruptcy- matters.
  • Provide leadership to the Managing Partner and the Board of Partners, as needed, regarding Firm governance and partnership agreement matters.
  • Recommend insurance strategies to the Managing Partner and the Board of Partners.  Manage the firm's professional liability and general liability insurance claims and relationships with insurers.
  • Advise Firm leadership and Partners on compliance with data privacy and security legal requirements
  • Serve as internal advisor, as needed, on potential business transactions, including mergers, acquisitions, divestitures and joint ventures.
  • Serve as Chief Compliance Officer for the firm’s Registered Investment Advisor subsidiary.

Preferred Experience/Background/Skills

  • At least 10 years of professional, legal experience with a minimum of 5 years in general business law.
  • Previous role as an attorney with a law firm, required.
  • Background in contract law; litigation management experience, is helpful.
  • Accounting/Consulting or other professional firm experience, preferred.
  • Recent experience as in-house counsel (or outsourced general counsel), preferred.
  • Experience working on matters of corporate governance.
  • Juris Doctor degree required; active license to practice in California, preferred.
  • Collaborative and persuasive.  Capable of effecting change through consensus building.
  • Willing to engage with other business leaders to develop their management of business decisions involving legal matters and risks.
  • Strong business acumen and ability to make practical business decisions.
  • Exceptional client service skills
