The VP & General Counsel of Ergotron, Inc. is responsible for providing legal support for all aspects of Ergotron’s operations. Work closely with management, outside counsel and operations to advise on and manage legal affairs on a broad range of issues including contracts, commercial transaction, antitrust, intellectual property, marketing, privacy, regulatory compliance, procurement/supply, logistics, manufacturing, distribution, corporate governance, labor and employment, and compliance with applicable regulations and best practices. Responsibilities involve issues impacting the Ergotron’s day-to-day activities as well as its goals and long-term strategies. Collaborate with other professionals in the parent company, Melrose Ltd., legal department on a variety of matters, including the development, execution and dissemination of policies, procedures, and processes.

Position Responsibilities:

Advise executives and employees within the Segment on a variety of contract and commercial issues, legal risks and business operations.

Provide assistance with global investments, strategic deals, and mergers and acquisitions.

Provide research and support on various litigation, employment and regulatory areas.

Closely coordinate with outside counsel in effectively managing legal matters.

Evaluate legal issues and risks in new business ventures initiatives.

Evaluate and manage litigation filed against or on behalf of the Company.

Counsel management on post-transaction related issues, including integration issues.

Provide clients with advice, counsel and training regarding legal requirements, best practices, and strategies for managing risk in order to mitigate legal exposure while helping to advance the Company's business objectives.

Assist in oversight of the Segment’s legal compliance and training programs.

Assist in the drafting, negotiating and reviewing the Company’s commercial and other contracts consistent with the Company’s Contract Compliance Program.

Additional duties as requested.

Supports “Lean Business Enterprise” initiatives for continuous process improvement and waste elimination.

Position Requirements (Knowledge and Experience):

Law degree from a leading university.

At least 7 years' experience as a corporate attorney handling corporate, general commercial, litigation, IP, M&A, regulatory compliance and other legal matters at a top law firm or public company.

Excellent written and oral communications skills.

Strong analytical skills and attention to detail.

Good business acumen and ability to delivery practical legal solutions

Effective time management skills and ability to meet deadlines, including ability to work under pressure.

Highly organized and proactive.

Able to handle a diverse workload and multi-task.

Critical Competencies

Ability to develop and effectively communicate sound legal advice and/or analysis, including alternative business solutions and best practices while taking into account client's role, objectives and risk tolerance.

Ability to find appropriate balance between legal risks and the need of the business

Ability to devise legal solutions that reduce financial liability, costs and negative publicity to acceptable levels.

Ability to determine and understand business objectives and risk tolerance.

Candidates must have broad legal knowledge of legal governance, procurement, contracts, and regulatory compliance and must also possess team management skills, work prioritization skills, people skills and strength of character to be successful in assisting the businesses research, draft, negotiate, review and summarize a wide variety of agreements, with respect to a wide range of commercial, transactional, and corporate legal matters, both domestically and internationally.

Proven ability to independently lead and execute all facets of challenging transactional engagements from preliminary/conceptual advice, through structuring, due diligence, negotiating, drafting, closing, integration and post-closing conflict resolution.

Effective negotiation, communication and drafting skills, including those suitable for interaction with very senior managers and executives.

Ability to handle ambiguity, juggle many matters at once and quickly shift from one situation or task to another.

Ability to independently manage workflow and priorities; and work collaboratively across multiple functions, organizations and with a diverse group of colleagues.

A team player and consensus builder with great people skills and a good sense of humor who can effectively and efficiently collaborate and build relationships with attorneys and business clients at all levels throughout the organization.

Familiarity with ARIBA contracts database and Thomson Reuters Legal Tracker (f/k/a Serengeti) a plus

Proficient in Microsoft Office (including Excel, PowerPoint and Outlook), and company owned websites.

Must be able to perform the physical requirements of the job as described to you for the position.
