Summary/Objective  The general counsel is responsible for leading corporate strategic and tactical legal initiatives.  This individual will provide seneio management with effective advice on company legal strategies and their implementation; manage all legal disciplines to include corporate governance, M&A, labor law, risk management, environmental and OSHA compliance; develop a highly compliant and efficient legal organization while ensuring strict compliance with all applicable laws, regulations, and customer requirements supported by an effective, energetic continuous improvement culture.

Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters.
Serves as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures.
Prepare and/or review correspondence, legal memoranda and contracts.
Judges the merits of major court cases filed against or on behalf of the company, works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted.
Ensures compliance with all state and federal laws to include corporate governance, OSHA, EPA, and DOT.
Structures and manages the company’s internal legal function and staff.
Oversees the selection, retention, management, cost analysis and evaluation of all outside counsel.
Advises on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities.
Acts as risk manager providing oversight in insurance placement, needs determination, safety programs, environmental programs and cost control.
Support collections through legal means to include filing liens where necessary.
Develop Key Performance Metrics to include management dash boards.
All other tasks deemed necessary by executive leadership.

Required Education and Experience:

Law degree.
Admitted to the bar in both Louisiana and Texas.
Minimum of six years’ experience in a law firm environment.
Experience working on matters of corporate governance and with a board of directors.
Experience managing other attorneys and supervising support staff in a corporation; experience with cost-effective management of outside legal resources.
Experience in directing strategy and managing complex risk factors and analysis for a company.
