Headquartered in Dallas, TX at the modern and eco-friendly GDT Innovation Campus with over 700 employees, GDT manages from its state-of-the-art Network and Security Operations Centers the networks and security solutions for many of the world's largest enterprises, service providers and government agencies.

GDT has an immediate need for an experienced General Counsel to join and lead our small yet dynamic Legal Team. In this role you will, be responsible for leading corporate tactical and strategic legal initiatives and consulting with Executive Leadership on critical escalations throughout the organization.

You will…

o Provide counsel and an expert guidance on legal matters and implications across all business units within the organization

o Ensure ongoing compliance with laws and regulations applicable to business and operations

o Serve as legal counsel/legal advisor on all major business transactions, including acquisitions and partnerships

o Participate in the definition and development of corporate policies, procedures and programs

o Provide day-to-day management of the company's internal Legal Team

o Oversee the selection, retention, management and evaluation of all outside counsel

o Working collaboratively with internal business units to drive successful business outcomes with customers and vendors through negotiations and creation of mutually beneficial contractual language.

o Provide risk assessment and mitigation on all corporate matters

o Create new entities and manages organization's intellectual property

o Maintain knowledge of organization's operations and legal documents

o Examine and creates agreements, such as Employment, Client, and

Vendor agreements

o Manage, review, and support negotiations of critical contracts including:

o Master Products Service Agreement

o Statements of Work

o Reseller Agreements

o Employment Agreements

o Sales Contracts

Competencies and Accomplishments required for this role;

o J.D degree from an accredited law school

o Member in good standing with the Texas State Bar Association

o 8+ years in corporate or legal firm practice

o 5+ years' experience specific to Technology Industry

o Proficient legal experience in corporate law, contract law and M&A

o Knowledge of statutes, rules and regulations pertaining to businesses

o Proficient understanding of business sensitivities and confidentiality

o Strong customer-service orientation with strong business acumen and the ability to work with a sense of urgency and a "can-do attitude"
