Kipu Health LLC, creator of the gold standard Healthcare Software for Addiction Treatment and Behavioral Health providers, is seeking an energetic, aggressive, and detail-oriented legal counsel to join its legal team in full-time position of general counsel.

The general counsel will be primarily responsible for drafting legal documents, responding to and negotiating legal matters, managing litigation and outside counsel, and advising the executive team on legal matters. The candidate will also provide legal support in other areas including but not limited to; employment law, data privacy security, healthcare law, tax law, bankruptcy, intellectual property, M&A and procedures design and compliance.

The general counsel should have a sound legal understanding of general corporate matters and have substantial litigation experience (Minimum five (5) years). The ideal Candidate also has proficiency in several or more legal support areas described above and be willing to learn more in the areas that best compliments and supports Company needs. This position requires working full time out of Kipu’s new fully equipped Headquarters’ located in beautiful downtown Coral Gables, adjacent to the “Miracle Mile.”

Responsibilities

Manage external counsel in a cost-effective manner

Handle all client-side litigation management for Kipu Health, including but not limited to drafting demand letters, complaints and pleadings, exhibits, editing, case law and statutory research as necessary, manage all discovery production, review and negotiate professional service provider invoices, and other related responsibilities

Present status updates at bi-weekly litigation meeting with Kipu executives and outside counsel

Assist in drafting and reviewing documents, including purchase/service agreements, disclosure schedules, business associate agreements, letters of intent, non-disclosure agreements,

Explore the availability and feasibility of writing grant proposals for Kipu Health

Work with human resources department to respond to any employee claims; track overall trends and help implement best practices to avoid future disputes

Coordinate with Kipu Health IT on compliance and risk mitigation. Submit proposed procedures and changes based on best practices. Manage implementation and follow up to ensure compliance.

Be the lead point of contact in responding to subpoenas, claims, inquires and other corporate matters for Kipu Health

Identify and drive department and company-wide cost saving measures

Work with accounting department to maintain corporate records and legal entity registers. Ensure that all officer and director information, and entity information held by local authorities is correct for Kipu Health

Provide strategic legal advice to management on matters that impact Kipu Health

Track trademarks and assist with any disputes. Ensure that we are making sound business decisions when deploying resources to protect IP

Stay abreast of relevant laws and regulations for the software and healthcare industries. Document and ensure that the Company follows all current business process laws

Occasionally assist sales department with required customer terms that deviate too far from our standard agreement

Professional Acumen

The ideal candidate will have at five years or more of professional experience in complex business litigation

The ideal candidate will have a sound legal understanding of corporate law concepts with professional experience servicing as internal or outside corporate counsel, general counsel or in a similar capacity

Exposure to technology and technology-related legal work is an asset

Exposure to the healthcare sector (including healthcare compliance) is an asset

Financial audit and/or tax law experience is an asset

The successful candidate will be adaptable and business-minded, while taking an aggressive stance and approach to their work

The successful candidate understands that cycle time (finishing projects timely and accurately) is a key to Kipu Health’s organizational success and each team member’s individual success

The successful candidate will be able to work independently

The successful candidate will have strong organizational and communication skills, that will permit the candidate to manage multiple open matters and maintain exceptional attention to detail

The role is best suited to someone who enjoys the high-pressure environment of litigation, fighting and advocating strongly for Kipu Health in all disputes that arise

The role is best suited to someone who is not weary of confrontation or deadlines, and is not afraid to roll up their sleeves to get things done

The ideal candidate will be proactive and eager to contribute and learn, and grow along with the Kipu Health as the Company continues to grow

The ideal candidate will have a mindset focused on continuous improvement and proactively identify, review, and implement process improvements

Education Requirements

J.D. or L.L.M. from a US-accredited law school

Qualified to practice law in state of Florida

Authorization to work in the United States without sponsorship.

Master’s or bachelor’s in business or accounting will be considered an asset
