The Company Legal Department (Legal Department) is responsible for the provision and management of the legal services and affairs for Company and its software products, subsidiaries and affiliated businesses or ventures.

Duties and Responsibilities:
Serves as a member of the Legal Department.
Reports to the Executive Vice President/General Counsel (GC).
Manages, directs, supervises and coordinates the legal services performed by the Legal Department in support of Company 's system-wide and service area or geographically-based strategic and/or growth initiatives (Strategy and Growth).
Acts as a key strategic legal advisor, counselor and business partner to Company 's Executive Leadership Team and corporate or service area senior management teams on matters relating to Strategy and Growth.
Has direct oversight, supervision and reporting responsibility for any of the Legal Department 's attorneys, paralegals or other staff, wherever located, whose primary role is the performance of legal services and support for Strategy and Growth (the Strategy and Growth Group).
Participates actively as a member of the Legal Department 's Leadership Team (LLT) and is engaged in the Legal Department 's planning, management, administration, direction and decision-making.
Requirements:
A Juris Doctor or equivalent degree from an accredited law school, admission to the State Bar of Pennsylvania (or eligibility under the Registered In-House Counsel or similar provisions of such State Bar), and licensure in good standing without any instances of suspension, revocation, censure or other adverse events in any jurisdiction.

A minimum of 5-7 years experience involving the provision and management of transactional-related legal services for finance and technology organizations (whether as inside and/or outside counsel), with an emphasis on joint ventures, mergers/acquisitions/dispositions, corporate transactional matters, regulations.

A minimum of 5 years of experience in a senior legal position in an in-house legal department or law firm, such as general counsel, managing partner, associate/assistant general counsel, senior counsel/client service leader, practice group or department chair, co-chair or leader, or other similar leadership role

A good working knowledge of (i) other substantive legal areas and considerations that may impact Strategy and Growth and health systems generally, and (ii) the Affordable Care Act or other legal developments and their implications on Strategy and Growth.

Familiarity with the legal and operational issues and considerations specific to Catholic or other faith-based health care systems.

Satisfaction of, or will develop a plan with the GC to meet within a specified time frame, the competencies established by the Legal Department for an Associate General Counsel (see attached).

Excellent contract drafting and negotiations skills.

Excellent written and verbal communication skills, including the ability to communicate complex legal, business and compliance concepts in a clear, concise and practical manner to the executives, governance, employees, physicians and outside or third party legal counsel.

Demonstrated ability to multi-task, and to manage and turn-around significant and diverse work flow in an effective and timely manner.

Demonstrated ability to manage a team of attorneys and support staff in an increasingly complex regulatory environment, ensuring effectiveness, efficiency and responsiveness, with a focus on employee engagement and involvement.

Demonstrated ability to identify legal risks or issues, to apply relevant law and organizational policies to such risks or issues, to communicate clearly the considerations, legal and otherwise, related to such risks or issues to management and others, and to develop creative and effective strategies or solutions for resolving such issues or risks, if possible.

Capability to think strategically, to assess the legal and business implications of initiatives and strategies, and to present or comment on legal options in support of such initiatives and strategies.

A system oriented thinker with the skills to analyze complex relationships and situations, think outside the box, take action, and promote entrepreneurial, creative, innovative and legally acceptable approaches or solutions to business or legal matters '" a thought leader.

A commitment to the client experience, transparency and accountability, and to high-quality legal services.

Demonstrated history of seeking out and developing collaborative relationships with internal and external constituencies to realize a common goal or result.

Experience with navigating complex and dynamic corporate organizations.
