General Counsel

Duties & Responsibilities:

Work cross-functionally to identify risks and provide strategic, practical and creative legal and business advice.
Participates in defining, developing and improving corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters.
Serves as key lawyer/legal advisor on all major business transactions.
Judges the merits of major court cases filed against or on behalf of the company, works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted.
Assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable laws and regulations.
Oversees the selection, retention, management and evaluation of all outside counsel.
Advises on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities.
Develop training and framework for employees to handle legal situations.
Qualifications:

Strong academic credentials including a J.D. degree from an accredited law school with a national reputation and membership in one state bar is required.
Preferably five to ten years’ experience as a practicing lawyer, preferably initially with a prominent law firm before moving to an in-house position.
Experience working on a wide array of business matters from corporate structuring, drafting contracts and agreements, review and negotiation of contracts and agreements, employment issues, litigation management, deposition preparation.
Exposure to mergers and acquisitions
Outstanding oral and written communication skills. It's not just about being able to understand complex legal issues, but about sharing them in a simple, elegant, persuasive way.
