Overview
Ability to lead internal teams to execute Wangard business plans.
This position reports to the Chief Executive Officer & Chairperson.

Essential Duties and Responsibilities

Chief Operating Officer

Drive annual strategic planning and execution while holding leadership team to timely deliverables and participation.
Collaborate with team to identify, create, and implement process improvements in business strategies, policy, and procedures.
Assess and manage fiscal, legal, and competitive risk to the organization.
Drive the company to achieve profitability, cash flow, business goals, and objectives.
Promote high-performance expectations and accountability with the company.
Ensure that all responsibilities, authorities, and accountability of all departments are defined and understood.
Develop and implement procedures and controls to promote communication and adequate information flow within the company to establish culture of accountability and growth.
Represent the organization with major customers, shareholders, the financial community and the public.
Review operating results of the organization, compare them to established objectives, and take steps to ensure that adequate measures are taken to correct unsatisfactory results.
Build an organizational culture in which commitment for continuous improvement is innate.
Direct reporting responsibility with department heads of property management, accounting, and development/construction.
Evaluates the results of overall operations regularly and reports these results to the CEO and leadership team

General Counsel

Serve as principal lawyer/legal advisor on all major business transactions.
In partnership with teammates, managing due diligence, creation of purchase and sale documents, supervision and administration of lease review, closings and post-closing activities.
Manage the closing process for sales, acquisitions and refinances, including but not limited to, negotiating terms of purchase and sale documents, reviewing loan documents, overseeing title and survey review, and facilitating correspondence with all outside parties.
Creating prototypical organizational documents for use by the internal legal staff, including but not limited to, Operating Agreements, Tenant in Common Agreements and Private Placement Memorandums, which shall be subject to subsequent review by Corporate Counsel. Securities work may also be completed by General Counsel if qualified, otherwise work shall be drafted in-house and reviewed by outside counsel.
Drafting and negotiating construction and design contracts, primarily using AIA forms. General Counsel will be working with senior construction managers, the Director of Development and the company President on construction-related matters.
Drafting and negotiating new leases for office, retail and industrial developments, while also updating existing lease templates and directing the Paralegal on lease drafting. An annual review and update of all lease templates shall also be completed.
Assist in the development of guidelines to minimize litigation risk and assist in dispute resolution.
Participate in the definition and development of corporate policies, procedures and programs, in order to further the company and departments, while also providing continuing counsel and guidance on overarching corporate legal matters and legal implications of such matters.
Create deal templates for transactional work.
Apply knowledge of municipal law to ensure compliance and efficient approval process if skilled in this area.
Manage legal research and advise appropriate teammates of findings and implications for company.
Supervise the maintenance of form files to ensure consistency and predictability with legal tasks.
Perform initial review of any litigation and discuss strategy with management and appropriate internal parties. Arrange for appropriate parties to meet with outside counsel to best determine course of action.
Review all company contracts as needed.
Manage internal legal staff.
Oversee the selection, retention, management and evaluation of all outside counsel.
Review work of outside counsel to ensure quality and consistency.
Perform analysis and audit of legal expenses and establish process to accurately estimate legal bills for outside work.

Experience and Qualifications

Advanced degree in Real Estate or related field, or equivalent experience.
JD required.
10 – 15 years qualified experience in the real estate development industry.
Previous senior level position with responsibility for budgeting, financial goals and strategic direction.
In depth management experience of senior level employees with complex roles and delivery expectations.
Ability to understand macro-economic and strategic outlook situations to assess opportunity and risk within a market.
Ability to align project activities to strategic goals, with focus on prioritization.
Understanding of contracts and contract law or similar combination of education and experience.
Track record of consistently completing development projects on time and on budget.
Ability to resolve advanced problems and deal with a variety of options in complex situations. Requires expert level analytical, quantitative and construction skills.
Draws upon analysis of others and make recommendations that have a direct impact on the company and project ownership.

Physical Demands
Physical demands include the ability to lift up to 50 pounds. The employee will be regularly required to sit; stand; walk; reach using feet, legs, back, arms and hands; talk and hear. The employee may occasionally be required to climb. The employee will be required to work at a personal computer and talk on the phone for extended periods of time. Must possess the ability to detect auditory and/or visual alarms and be available to work extended/flexible hours and weekends, as needed.

Attendance/Travel
This position is a full time salaried position. This position requires the availability to work some nights, weekends, and occasional holidays. This position also requires regular attendance and active participation/planning at all company functions and events.
