Yamaha Motor Ventures & Laboratory Silicon Valley (YMVSV) is seeking an attorney with experience in corporate securities, venture capital, IP licensing or commercial transactions. The successful candidate will oversee all legal activities from reviewing and negotiating venture capital financing documents, NDAs, IP licenses and commercial agreements, to working with our business teams and portfolio companies to structure commercial relationships and provide long-term strategic support. This is a full-time position and the ideal candidate will be comfortable working in a face-paced, start-up like environment.

The Role:
The General Counsel will be a key member of the senior management team and will be responsible for providing expert corporate and transactional legal advice and service to YMVSV and its affiliates on investments, strategic transactions, technology development/commercialization agreements, and complex intellectual property matters. The General Counsel will report to the CEO and work collaboratively with all teams, as appropriate. The role requires (1) a results-driven self-starter with exemplary leadership, communication, collaboration and influencing skills; (2) excellent judgment and facility with a constant blend of technological, legal and business complexity with international dimensions; and (3) a highly adaptable professional who would relish working within a complex fast-paced global organization with a compelling blend of international cultures and dimensions.

Day-to-day Responsibilities:
• Provide legal advice and service on early stage and strategic investments, strategic development/commercialization agreements, and complex intellectual property matters comprising IP development, licensing and litigation, including international aspects of all of the above.
• Manage legal process and due diligence for strategic investments in early stage and growth stage companies.
• Draft and negotiate term sheets and final definitive documents for investments, strategic partnerships, joint ventures and related technology development and commercialization projects;
• Manage our global compliance and security trade control activities and support the possible roll-out of global branch offices.
• Provide corresponding advice to groups on full range of legal strategy, including intellectual property;
• Provide advice on shareholder/board matters and consent(s).
• General day-to-day legal advice and research legal issues as necessary.
• Managing outside counsel.

Education:
• Admitted to the State Bar of California in good standing.
• Minimum of J.D. from a top American Bar Association accredited law school.
• Registered to practice before the USPTO as a patent attorney is a plus.

Required Skills/Experience:
• 7 - 10 years legal experience with technology, venture capital funds, fund investments and M&A transactions (5 years as a corporate associate in a top legal firm).
• Experience drafting/negotiating complex international investment, financing instruments and technology development and IP licensing agreements.
• Experience working directly with top caliber business executives, entrepreneurs, venture capitalists, scientists, and engineers in a cross-cultural environment.
• Excellent legal judgment, analytical and organizational skills, and writing and oral communication skills.
• Team player with an energetic, positive and proactive attitude.
• Ability and desire to work in a fast-paced environment and deal with ambiguity.
• Ability to interact with business clients and interdepartmental colleagues locally, nationally and internationally.
• Complete proficiency with Microsoft Office productivity applications: Outlook, Word, PowerPoint, Excel.
• Experience with complex patent prosecution, licensing and litigation, and trademarks a plus, but not required
• Financial modeling experience a plus
