Toshiba America Electronic Components, Inc. is seeking a general counsel for a highly influential role in the Company’s executive management. Reporting directly to the Chief Executive Officer, the general counsel will perform and manage all legal aspects of the company and provide strategic advice to management. In addition, the general counsel will manage a small group of professionals that support the legal and compliance functions of the Company. 

Responsibilities:

Advise management on the legal aspects of all of the operations of the Company. Build strong relationships of trust in order to guide the company in conducting its business in an ethical manner, in compliance with the values and policies of the Company.
Build strong relationships with company executives, sales, services and product teams to draft, review, negotiate, and interpret a wide range of commercial agreements in support of various company departments.
Implement, drive and report results and efficiency metrics including budget and cost management.
Provide leadership on cross-functional teams, identify legal issues, and provide legal options/analysis of possible legal solutions, all while interacting with external counsel, advisors, external vendors, and business partners.
Develop a deep understanding of the company’s products, services and business model.
Support corporate and strategic transactions, including mergers and acquisitions.
Manage the corporate governance of the Company, including drafting and reviewing materials to be provided to the Board of Directors and its committees, meeting minutes, amendments to governance documents, corporate policies, and committee charters.
Manage the Contract Administration and Purchasing teams.
Continuously improve yourself and the legal department by identifying and implementing improvements in processes, forms and operations.
Respond promptly to requests from internal clients, and summarize and communicate legal risks in a way that business people can understand that pragmatically balances risk with the Company’s business objectives.
Keeping informed of new laws, regulations, and industry trends affecting the Company, and assisting with the development of policies and training as needed.
Requirements:

12+ years’ experience in legal practice, preferably with a combination of a large law firm and in-house experience.
Significant experience providing strategic counseling to senior management on important and complex matters, along with demonstrated ability to build relationships and positively influence creative outcomes.
Demonstrated experience successfully driving legal department strategies, goals and objectives including process improvements, resource efficiencies and change management in provision of legal services.
Experience in leading and motivating a team of professionals.
Excellent organizational and planning skills and the capacity to simultaneously handle a variety of complex matters under deadline pressure.
Strong demonstrated experience drafting and negotiating contracts.
Excellent written, verbal and analytical skills and an ability to communicate complex issues in a simple way and to orchestrate plans to resolve issues and mitigate risks.
Ability to form strong working relationships with other employees and partners while maintaining firm adherence to proper legal standards.
Responsive and service-oriented attitude.
Attention to detail and the ability to work individually, within a multi-disciplinary team, as well as with external partners and vendors.
Education

Law Degree from a nationally recognized law school and member of the California state bar
