As the General Counsel, you will provide critical legal counseling and support with respect to a variety of corporate, securities, governance, transactional and commercial matters which arise from the day-to-day operations of a complex company. This person will report to the President/CEO and will be one of the pillars of the organization.

Duties/Responsibilities/Expectations:

Providing legal counsel on the full spectrum of general corporate matters, including joint ventures, financings, acquisitions and divestitures and other business development activities.
Compliance Risk Management, e.g., periodic risk analysis, risk monitoring, and mitigation, particularly regarding third-party relationships
Developing a thorough understanding of and familiarity with the Company's business, its people, markets, facilities, customers, and competitors, in order to identify trends and formulate appropriate structures and strategies.
Establishing a strong rapport and working relationship with Montway's business units to help drive the delivery of effective and high-quality legal services appropriately linked to the Company's business objectives.
Counseling business teams on legal and compliance matters relating to transactions, including antitrust issues.
Provide advice to management and associates regarding compliance topics
Design and implement proactive programs and initiatives to ensure associate awareness of compliance organization and topics.
Responsible for legal/compliance communication in general.
Act as point of contact to support investigations by government agencies, and coordinate with legal counsel as necessary
Providing legal advice and counsel on federal and state securities laws matters, including proxy statements, etc.
Understand, and keep well informed of changes to relevant local laws and regulations
Oversee the implementation of local policies, guidelines, and procedures as needed
Necessary Competence:

Bachelor’s Degree in Legal, Human Resources, Business, or Criminal Justice
5+ years of experience conducting legal, compliance, regulatory, or law enforcement
Investigations
5+ years of experience in a legal, HR, or compliance role
Working knowledge of the relevant regulations and laws
This is not a 9-5 job. The candidate should be ready to work as many hours deemed necessary to get the job done and be successful.
