General Counsel IMMEDIATE OPPORTUNITY CECO is currently seeking a full time General Counsel for our corporate office in Dallas Texas. This exciting new role will operate as part of the Sr. Leadership team, report to the CEO and touch all areas of domestic and global operations. While broad in scope, the role will be ideal for a hands-on operator who enjoys working through complexity and advising on important issues that drive strategy execution and business growth. The right candidate will be energized by our fast-paced, continuous improvement environment and motivated to help ensure legal compliance and limit risk exposure across the enterprise. The ability to create associations of trust and respect with key stakeholders is critical to success in this role. General Duties: Advising the company and senior management on a broad range of international and national regulatory and compliance matters, including identifying areas of risk and making suggestions for improvement Managing outside counsel and developing strategy for litigation and regulatory proceedings Negotiating transactions on behalf of the company Providing expert and strategic legal advice to management Identifying proactive solutions that will eliminate or mitigate risks Drafting agreements that minimize risks and maximize legal rights Dealing with complex, significant matters that cut across legal and related areas Keeping abreast of legislative changes Primary Areas of Responsibility Secondary Areas of Responsibility Commercial T&C’s Litigation: Tort Actions, AR Collections, Warranty Matters Compliance : Export Controls, Trade, Corruption, etc SEC/Proxy/BoD items (Secretarial duties) Domestic & Foreign Entity Structures New Markets, Foreign Jurisdictions US tax entity structure Employment (ERISA) HR Compliance Property Management (Office Leases, Sales) M&A/Bank Financing Insurance Matters: Asbestos, Wrongful Death, etc General IP Requirements The General Counsel must possess strong initiative as well as excellent management, teamwork, and problem-solving skills. A juris doctor (JD) is required with 15 to 20 years of relevant experience in a law firm or corporate legal department. Candidates must demonstrate a work history with positions of increasing responsibility, such as associate general counsel or partner. Experience representing public companies, including familiarity with periodic reporting, regulatory and corporate governance mandates is required. Overall broad legal knowledge (corporate law, litigation, labor law, etc.) Ability to develop legal strategy, objectives and drive appropriate outcomes High degree of professional ethics, integrity and gravitas Excellent judgement and analytical skills Ability to effectively communicate legal concepts to business people Ability to anticipate legal issues or risks and to “see around the corner” MA or BSc in Business Administration will be considered an asset
