General Counsel

The General Counsel will play a mission critical role, providing expert and strategic legal advice to the executive team on all matters. You will ensure legal compliance and limit risk exposure. You will also be responsible for tackling all the nitty-gritty legal operations that accompany a fast growing startup with multiple business entities spanning two countries (the United States and South Africa).
Legal Strategy:
Provide expert and strategic legal advice
Anticipate issues and identify solutions that will eliminate or mitigate risks
Evaluate the potential repercussions of any decision or action from multiple viewpoints (e.g. SEC, FinCEN, IRS) 
Know what you don’t know: identify issues that require input from outside counsel
Manage outside counsel and relationships with other external parties (e.g. regulators)
Draft and negotiate agreements that minimize risks and maximize results
Execute deals (e.g. fundraising, SAFTs, leases) in a fast paced, ever changing environment
Draft vendor contracts and contractor agreements / addendums 
Keep abreast of legislative changes
Corporate Governance:
Cap table management
Entity strategy and formation
Regulatory compliance
Equity and option pool management
HR:
Ensure legal compliance with employment law
Establish and manage onboarding and offboarding processes and protocols
Insurance:
Source and manage business insurance
Ideal Qualifications
You have a J.D. and are an active member and in good standing with the Bar Association in at least one U.S. state.
You have 10+ years of legal experience as General Counsel for startups or with a notable firm working on contracts for a wide range of startups.
You have a broad overview of experience in intellectual property, securities, licensing, human resources, privacy, and corporate governance.
You have demonstrated sound ethical, business, and legal judgment in a high-growth, fast-paced environment.
You have experience drafting and negotiating a wide range of documents (e.g. vendor contracts, investment memoranda, IP licensing agreements, NDAs, etc.).
You are known for the overall quality and precision of your work product. You take great pride in every contract or document you draft.
You don’t over lawyer. You aren’t a deal killer. You are an expert negotiator. You work actively to bridge gaps between parties and reach consensus.
You are comfortable with ambiguity and not afraid to get your hands dirty.
You can structure creative solutions to problems but also understand risk-reward trade offs.

You have experience managing outside counsel in a cost conscious manner.

Periodic travel to South Africa.
