General Counsel

CompTIA is currently recruiting for a Senior Vice President, General Counsel who will report to the President/Chief Executive Officer and will be an integral part of the executive team at CompTIA, providing legal counsel to the CEO, the board of directors, and senior leaders.

The General Counsel will lead the corporate legal strategy to facilitate business, serve as corporate secretary and will have oversight of all legal affairs for the organization.

Essential Duties and Responsibilities:

• Mergers & Acquisitions (due diligence, document preparation and negotiation)
• Financing (credit agreements/facilities)
• Governance
• Board of Directors liaison (attendance at Board and Committee meetings, reports, minutes)
• Involvement in material litigation and contract disputes
• Corporate structure/subsidiaries (domestic and international)
• Intellectual property management

Required Experience
Education and/or Experience:
• J.D. from an accredited law school
• Licensed to practice law
• Five years’ experience as a practicing attorney in a fast-paced entrepreneurial environment
• Experienced in managing outside counsel and supervising staff
• Experience with a broad portfolio of issues (contracts, IP trademarks, international) required
