In your role as Vice President--General Counsel, you will be responsible for handling a wide range of corporate matters, including corporate agreements and complex negotiations spanning the breadth of Shift Digital’s clients and suppliers alike. 

Reporting to the CEO, you would provide expert and strategic legal advice to management, will oversee legal compliance protocols, and will work directly to forge the relationships with our clients and our supplier partners. Experience in a variety of legal areas involved  in the Automotive supply chain (OEM agreements, Sub-supplier agreements) and digital marketing is highly desired.

Your duties and essential functions:

Participating as a senior member of management, working directly with the executive team to understand strategic initiatives and business needs, providing legal and business counsel, and establishing and influencing appropriate ethical standards and legal considerations.
Consulting with senior management in the presentation of strategic initiatives to the Executive Committee and/or Board and implementing such initiatives as adopted by the Board.
Oversight and leadership of the day-to-day operations of legal representation of the Company
Providing advice on developing, implementing and managing a strategic plan for the provision of legal services, in accordance with and in support of, business objectives to include the selection and management of outside counsel.
Negotiating, drafting and implementing a wide variety of complex, multi-party agreements, including OEM contracts, sub-supplier contracts, support vendors, leases, etc.
Advising the company on litigation and other legal risks of possible business decisions, providing preventive counseling associated with standard business practices and specific business transactions. Developing strategies with outside counsel in response to civil litigation and regulatory inquiries (including negotiating settlement agreements, where appropriate), and cost-effectively managing the resources required to address such matters.
 

To be successful, your knowledge, skills and abilities must include:

Comprehensive skill and experience in drafting complex contracts with Automotive and non-automotive OEMs, including a proven track record of working with legal and purchasing organizations.
Experience with digital marketing landscape for automotive industry
Experience working with digital marketing partners, specifically developing partnership agreemetns with publishers and platforms such as Facebook, Google, Cox Automotive, etc.
The ability to develop and implement strategy, in partnership with outside counsel as appropriate, to effectively address complex litigation and regulatory inquiries.
Excellent interpersonal skills and the ability to communicate and interact effectively at all levels of the organization; requiring judgment and self-confidence but also respect for others, regardless of position, and the willingness to perform the legal tasks personally.
Personal credibility and the ability to articulate legal positions and strategies concisely and quickly, in a manner that is useful and easily understood by management and personnel at all levels.
Strong negotiation, communication, organizational, and people management skills and the ability to influence and build relationships collaboratively, without direct authority.
Your education and experience:
Degree of Juris Doctorate or Bachelor of Law Degree from an accredited law school
OEM Automotive experience/track record (highly desired)
Digital Marketing expertise (highly desired)
