Liberty Tax Service is currently seeking General Counsel & Vice President of Legal/Gov. Affairs. This role will lead the corporate legal department and is responsible for the legal affairs of the entire organization. This role includes providing legal counsel to the board of directors, chairman of the board, chief executive officer and other senior management.

Position Responsibilities/Duties/Functions/Tasks

Participates in the definition and development of corporate policies, procedures and programs.
Provides continuing counsel and guidance on legal matters and on the legal implications of other significant matters.
Develops corporate legal strategy to promote and protect the company's interests
Assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable laws and regulations.
Serves as primary legal advisor on all major business transactions
Develops and manages internal audit and corporate compliance programs
Oversees the delivery of legal services and resources to accomplish corporate goals, strategies and priorities
Advises the CEO and other senior corporate officers on a variety of issues
Manages a team of corporate counsel and other members of the legal department
 

Position Qualifications

A Bachelor's Degree and Juris Doctor are required
Must be an active member in good standing with a state bar association
At least 10 years of legal experience, including in-house legal experience with a publicly traded company
Prior experience as a General Counsel or in a management role within the legal department of a publicly traded company is strongly preferred
Experience with contracts, commercial and corporate transactions, intellectual property, compliance, litigation management, executive compensation, employment and corporate governance
Experience with securities law, and finance and capital fundraising also strongly preferred
Executive leadership and management skills in all aspects of a legal and business environment, with proven ability to advise a successful and growing company
Expertise in or a demonstrated understanding of the laws, regulations, standards and guidance governing the operation of a life sciences company, specifically those relating to research, development, manufacturing, approval, public reporting, regulation, sale and marketing of pharmaceutical products
Experience in U.S. corporate securities filings, disclosure and public capital-raising experience required
 

Physical Demands and Work Environment

Travel required.
