Center Valley, PA  - The Corporate Vice President and General Counsel is responsible for serving as the senior legal advisor of the corporation with ultimate functional responsibility for the organization’s legal affairs and for setting legal policy. The incumbent is responsible for day-to-day management of the law department, including budgeting, forecasting, technology migration, and managing outside counsel both domestically and outside the United States.  He/She will be expected to work both independently and as part of a team.

Job Duties:

* Represent the Company in matters involving complex legal issues.

* Identify the need for, and develop policies which ensure compliance with the law.

* Ensure the delivery of quality, timely and cost efficient legal services throughout the organization.

* Develop and implement protocols, infrastructure and systems to manage legal matters as appropriate for a U.S.- based corporation which operates internationally.

* Understand and creatively apply technology to the practice of law to improve quality and reduce cost.

* Provide legal advice in areas of significant organization-wide impact, including the formulation of corporate strategic plans.

* Serve as principal legal advisor for the OCA Board of Directors and senior management, providing legal advice on a broad range of topics, including real estate, corporate/commercial, mergers and acquisitions, corporate finance, banking, tax, insurance, financial services, employment, immigration, information technology, litigation, regulatory, compliance, ethics, and corporate governance.

* Remain current with developments in the law; understand medical, scientific, and consumer products, including issues and defenses involved with cases or matters.

* Educate the Board of Directors and the executive management team regarding changes and trends that could affect the ability to advance the Company’s mission.

* Minimize risk through the careful review, negotiation, drafting and administration of agreements and other legal documents.

* Provide direct support to the committees of the Board of Directors as assigned, including the Ethics Committee; provide legal advice on the content of the Ethics Code and Ethics Training. 

* Serve as Secretary to the OCA Board of Directors with responsibility for planning the agenda for Board meetings, ensuring that proper corporate governance is followed at Board Meetings, preparing minutes of Board Meetings, maintaining corporate books and records for OCA and certain subsidiaries, and overseeing corporate governance issues. 
 

Job Requirements:

(ONLY QUALIFIED CANDIDATES WILL BE CONSIDERED)

* J.D. from an accredited law school is required.

* Must be licensed to practice law; Pennsylvania State Bar membership is a plus.

* Minimum of 15 years of practice in a law firm or in-house litigation department is required.

* Demonstrated leadership and success in managing a team of lawyers and paraprofessional staff is essential. 

* Excellent written and verbal communication skills and ability to maintain a positive professional image are necessary.

* Must be exceptionally organized and prepared to work under pressure gracefully in a fast-paced, expanding and dynamic corporate environment. 

* Ability to work independently and as part of a team is essential. 

* Proficiency of Microsoft Office and Lotus Notes is necessary.
