The general counsel provides senior management with effective advice on company strategies and their implementation, manages the legal function, and obtains and oversees the work of outside counsel. The general counsel is directly involved in complex business transactions in negotiating critical contracts.

Responsibilities

Reviews all legal issues that arise in areas including but not limited to Employment, Real Estate, Regulatory, Litigation Management, State Sales Tax, Insurance Coverage, Sale and Purchase contracts, Intellectual Property and Confidentiality, Acquisitions, Compliance, and any and all other legal issues that arise in the day to day running of the business
Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters.
Structure, negotiate and administer contracts and advise executives on contract status, legal risks and business terms
Advises on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities
Investigate and respond to federal and state administrative complaints (including EEOC, ADA and wage and hour claims)
Research, anticipate and guard company against legal risk and keep abreast of legislative changes that may affect the company and its affiliates
Research unique legal issues impacting the organization by identifying applicable statues, judicial decisions, and codes.
Draft letters and correspondences on behalf of the company
Oversees the selection, retention, management and evaluation of all outside counsel

Education and Experience

Required:

·       J.D. degree

·       Current license to practice in Arizona

·       Minimum of six years’ experience in corporate law, contract law and/or employment and labor law and/or experience as an assistant general counsel

·       Experience working on matters of corporate governance and with a board of directors

·       Experience managing other attorneys and support staff in a corporation; experience with cost-effective management of outside legal resources

Preferred:

·       California license preferred but not required

Experience with software, technology, general healthcare and/or health insurance law
Broad, overview experience in intellectual property law, including patent law, licensing of IP rights and IP due diligence, computer law, and privacy
B.A. degree

Experience managing other attorneys and support staff in a corporation; experience with cost-effective management of outside legal resources
