The Opportunity: We are seeking a hard-working, results-oriented attorney with at least six years of relevant legal experience to serve as the company’s General Counsel. This attorney will report directly to Technologent’s President and will supervise or co-supervise the company’s Paralegal. The position is based at our corporate headquarters in Irvine, California.

Responsibilities:

Manage the Company’s internal legal function.
Draft, review and negotiate a large volume of commercial contracts with customers and vendors relating to the purchase, sale, licensing and financing of hardware and software, and the provision of cloud services and other professional services. Types of contracts will include Purchase Agreements, Services Agreements and related Statements of Work, License Agreements, Financing Agreements and Independent Contractor Agreements.
Develop and maintain contract and form templates in support of Technogent’s existing business and future business expansion.
Support Technologent’s Human Resources Department in helping to ensure full compliance with Federal and state employment laws, and assist in the investigation and resolution of employment-related issues.
Review and advise on marketing materials, website terms of use, privacy policies and other policies with a view to ensuring full compliance with applicable laws and regulations.
Cost-effectively manage litigation and pre-litigation disputes of all types; monitor and manage outside counsel.
Perform other duties as assigned or required.

Minimum Qualifications:

Undergraduate and J.D. degrees
Admitted to practice law in California and in good standing
6 or more years of relevant legal experience
Solid experience in preparing, reviewing and negotiating corporate contracts involving technology products and services
Demonstrated understanding of Federal and state laws and ability to deal with complex legal principles
Ability to prioritize and multiple projects and handle such projects with maximum efficiency and with a view to meeting the company’s business objectives and stated deadlines.
Ability to comfortably operate in a fast-moving, sales-driven organization.
Ability to clearly and concisely communicate in English (verbal and written), and to explain legal concepts to various levels of businesspeople.
Ability to effectively interact with all levels of company personnel, including executives and field sales and support teams.
Proficient in basic computer skills, including MS Office apps.

Preferred Additional Qualifications:

Previous in-house legal experience.
Experience in dealing with all aspects of employment, from compliance to dispute analysis and resolution.
Experience in managing litigation and overseeing outside counsel.
Experience in dealing with international issues, including familiarity with international data protection requirements.
