The General Counsel (GC) reports directly to the CEO and is responsible for leading strategic legal and risk initiatives within the credit union. The GC provides senior management with clear and effective advice regarding company strategies and their implementation, manages the corporate legal function, and oversees the work of outside counsel.

Responsibilities

Provides reliable counsel and guidance on all legal matters affecting the business of the credit union to all levels of staff.

Assumes responsibility for ensuring that the company conducts its business in compliance with all applicable laws and regulations.

Oversees the selection, management and evaluation of all outside counsel.

Acts as a proactive strategic business partner for all departments within the organization to effectively evaluate and mitigate risk.

Participates in executive-level planning and discussions regarding the operation of, and vision for, the credit union.

Drafts, negotiates and reviews legal documentation as necessary, including vendor contracts, NDAs, corporate resolutions and bylaws, etc.

Establishes legal department budget and tracks legal spend.

Stays abreast of potential new legislation or other developments impacting the credit union industry.

Performs all other duties as assigned.

Qualifications

J.D. degree from an accredited law school.

At least eight (8) years’ experience as a practicing lawyer.

Must be licensed by, and in good standing with, the State Bar of Texas.

Financial institution experience or significant knowledge of the financial services industry.

Significant contract review and negotiation experience.

At least three (3) years’ experience managing others.

Experience working on matters of corporate governance, and with a Board of Directors.
