Physicians Endoscopy (PE) is currently looking to hire a Corporate General Counsel & Compliance Officer. This is a newly created role for our company, combining the need to add in-house counsel and migrating the compliance duties to a new home within the company. The ideal candidate should have healthcare legal background, corporate or business (in-house_ legal counsel) experience, M&A, acquisition or contract review experience, a basic understanding of compliance, the desire to own the function and grow the role and a history of managing external legal vendor relationships, usage and billable fees/hours. Juris Doctor Degree from an ABA accredited law school is required.

Corporate General Counsel Duties and Responsibilities

Be a balance between builder of process and legal function for the department and an inheritor of process and position for compliance.

Be a legal advisor to sales, operations, executive leadership and other business partners and teams to provide solutions requiring legal support and attention.

Independently or collaboratively reviews, revises, drafts and negotiates contracts and other legally binding documents.

Develop and maintain strong legal working relationships with business units, their leadership, the executive team and other departments and stakeholders’ company wide.

Effectively prioritize and organize multiple priorities, projects, deals and agreements.

Provide support and escalation to all company employees and stakeholders; on substantive legal matters and issues.

Provide additional transactional support to the business development and operations functions.

Review, draft and negotiate a variety of contracts, documents and agreements, including master service agreements, distribution agreements, lease agreements, non-disclosure agreements, supply or vendor agreements, government contracts and IT agreements in collaboration with respective department and business function.

Conduct acquisition or merger due diligence as directed by executive team.

Provide occasional training to company employees on substantive legal topics.

Compliance Officer Duties and Responsibilities

Research and interpret federal, state, local regulatory requirements and their impact on enterprise policies, practices and procedures to ensure organizational compliance.

Work with organizational experts, outside resources and center resources on compliance related matters.

Develops and manages existing compliance policies, procedures, standards, forms and practices.

Provides compliance support to stakeholders throughout the organization.

Stays current on legal and regulatory developments and emerging policy changes that impact compliance and our organization.

Conducts compliance investigations if needed.

Continue to manage and if needed, rebuild or adjust current organizational compliance monitoring and auditing program that covers legal, contractual, regulatory, accreditation and HIPAA/privacy compliance.

Maintains compliance documentation and provides final resolution of all compliance deficiencies and corrective actions.

Reports urgent compliance matters internally and, if needed, externally.

Recommends action to mitigate any confirmed compliance matters, including overpayments and violations.

Adheres and complies to OIG/SAM search guidelines.

Coordinates with clinical areas to operationalize statutory and regulatory requirements as needed.

Required Experience, Knowledge and Education

BA/BS degree REQUIRED.

Juris Doctor Degree from an ABA accredited law school is REQUIRED.

Healthcare experience is REQUIRED.

Basic understanding of healthcare compliance is REQUIRED.

Active license to practice law and a good standing member of the state bar association is a plus.

4+ years of corporate general counsel experience is REQUIRED.

4+ years of corporate/transactional experience in a law-firm or corporate setting is REQUIRED.

Demonstrated frontline experience drafting, reviewing and negotiating agreements of all types.

Strong background in business operations, mergers and acquisitions.

Knowledge of real estate and lease agreements is a plus.

Must be service oriented and client focused and have the natural ability to work well with all stakeholders’ internal or external.

Experience managing external legal resources and evaluating their workload, performance and monitoring the hours billed and fee structure.

A creative thinker who is goal and process oriented with a demonstrated ability to prioritize tasks, use exceptional judgement to accomplish tasks and objectives and develop alternative resolution approaches to complex legal issues.

Knowledge of Anti-Kickback, HIPAA and state privacy laws is Required.
