GENERAL PURPOSE OF JOB

  

The general counsel is responsible for executing business transactions in the areas of project and portfolio management, entity formation, securities law, trusts, estates, tax planning and litigation. The general counsel provides senior management with effective advice on company strategies and their implementation, manages the legal function, and obtains and oversees the work of outside counsel. The general counsel is directly involved in complex corporate transactions in negotiating critical contracts.

PRIMARY OBJECTIVE:

As a member of the management team of Rosewood Management Corporation, the family office for the Caroline Rose Hunt family, provide leadership and work collaboratively with senior management throughout the organization, including members of the tax compliance group, accounting group, and risk management group. Collaborate with and advise management of other subsidiaries which invest for the Rosewood Corporation.

As a member of the management team of The Rosewood Corporation, the primary holding of the Caroline Hunt Trust Estate and constituting over a billion dollars of the trust’s assets, provide leadership and work collaboratively with senior management throughout the organization including the President, CFO, members of the tax group, accounting group, and risk management group.    

                                   
ESSENTIAL DUTIES AND RESPONSIBILITIES    

Serve as advisor to the board of directors and management of Rosewood Trust Company, LTA, in its capacity as trustee of family trusts including the Caroline Hunt Trust Estate, a multi-billion dollar pre-1942 trust.

As a member of the senior management team participates in corporate strategy, policymaking, and participation on board level committees as assigned.

Function as Chief Compliance Officer for Rosewood Trust Company, LTA, primarily assuring that subsidiaries comply with the Family Office Exemption under the Investment Advisors Act.

Assist with wealth transfer and income tax minimization strategies for the members of the Caroline Rose Hunt family including preparing or supervising the preparation of trusts and wills and ancillary documents.

Form business entities (primarily partnerships and limited liability companies) for family members.

Form investment vehicles for co-investments by family members and key employees and assure compliance with the family office exemption under the Investment Advisors Act.

Oversee and advise the vice president of claims, insurance and risk management and oversee the selection, retention, management and evaluation of outside counsel.   When possible, resolve claims or conflicts without litigation.

Serve as a point of contact for outside counsel and other intermediaries, providing review of outside counsel activities, managing outside legal costs and overseeing department budget.

Review and negotiate loan documents.

Review documents for trust investments or individual investments as part of due diligence process.

Assist investment department as needed with fund investor compliance.

Provide advice and representation in adversarial proceedings with the Internal Review Service. Also prepare or supervise preparation of documents for Private Letter Rulings.

Provide advice and draft documents for private charitable endeavors.

Provide leadership and counsel on trust fiduciary responsibilities.

Provide legal consultation and research for the office and its clients. Assist clients with documents, contracts and agreements and provide referrals when appropriate.

Provide business consulting and serve as key senior advisor to family members where appropriate or possible. Proactively act as client advocate and provide expert support in interactions with counter parties.

Evaluate litigation filed or contemplated to be filed against or on behalf of Rosewood clients.

Oversee and advise the vice president of insurance, claims and risk management and oversee the selection, retention, management and evaluation of outside counsel.  When possible, resolve claims or conflicts without litigation.

Ensure that all corporate records such as elections of boards, minutes, consents and ratifications of action taken are properly and timely prepared and signed.

Provide direction and legal support for corporate legal matters including governance documents, human resources (including benefit plans and executive compensation), corporate contracts, and legal risk analysis.

Provide leadership and counsel on officer and director fiduciary responsibilities.

SUPERVISORY RESPONSIBILITY: 

Directly supervises the risk management officer and the human resources officer

EDUCATION AND EXPERIENCE:

Juris Doctorate required. Must currently be licensed in the State of Texas.
Minimum 7 years of recent general practice experience required.  Broad corporate and transaction experience required. Experience will include contract negotiation, regulatory compliance, and corporate governance.
Estate planning and trust experience a plus; experience in tax compliance, real estate transactions and financial planning a plus.
Significant management and leadership experience with the ability to identify and mitigate potential risks through collaboration with other executives.
