The firm is a leading management company for private investment funds in healthcare and life sciences, with over $2B in AUM and is based in Raleigh, NC. The funds managed by the firm make investments through two platforms, both in the global life sciences industry. One platform has a primary focus on product-based investments in late-stage clinical and commercial biopharma programs. and control, and the second platform makes traditional private equity investments in high-quality healthcare, pharmaceutical services, and life sciences companies. All funds are private, and the management company is an SEC registrant.

Job Description

The firm is seeking a General Counsel / Chief Compliance Officer to provide leadership on all legal matters and compliance activities of our firm. An ideal candidate is ready to be actively engaged in defining, implementing, and leading both the legal and compliance functions within the firm. To ensure success, the candidate will need to have sound knowledge and understanding of applicable laws and regulations, the ability to make prudent legal decisions, identify and document regulatory risks and lead the business in developing robust compliance policies and procedures, and promote and instill a firm-wide commitment to compliance with regulations for a growing team. This position involves planning, organization and execution of day-to-day legal and compliance activities. The individual will lead the firm on developing and implementing remediation on issues identified through compliance testing and support. Top candidates will be team players with outstanding advocacy, communication skills, and people skills.

Candidate Qualifications & Characteristics:

Juris Doctor degree from accredited, top-tier law school.

5+ years practice with an established law firm.

Proficient legal experience in fund matters, fund investments, capital financing and M&A.

Experience with corporate governance issues and corporate secretarial duties.

Excellent verbal and written communication skills.

Knowledge of SEC and other statutes, rules and regulations pertaining to registered investment advisor (“RIA”) status management companies of private funds.

Experience with Fund structures and formation.

The ability to manage compliance duties for private funds and their managers.

Proficient understanding of business sensitivities and confidentiality.

Strong interpersonal and communication skills.

Organized/methodical/detailed orientated.

Ability to handle multiple demands, competing priorities, and constant change in a deadline driven environment.

Functions and responsibilities covered in the position:

General Counsel

Managing the firm's legal matters.

Provide leadership and accurate legal guidance to management on all matters that affect the firm.

Be a legal resource for all employees on business and investing matters.

Setting internal governance policies and manage the impact of external factors.

Evaluating and weighing multiple inputs and impacts of any decision or course of action.

Attend executive level meetings related to the future direction of the company and changes in policy.

Ensure that the firm is compliant with all current business process laws.

Advising executive, senior management and board on various matters such as legal rights, and new and existing laws.

Examining draft agreements, providing feedback to external counsel, and managing to deadlines.

Maintaining knowledge of organization’s operations and legal documents.

Conducting legal research and lead the company's litigation strategy pertaining to legal actions.

Preserving all firm legal records.

Set and manage the resourcing strategy for use of internal and external legal resources

Liaising with outside counsel regarding their assignments and managing their relationships with those external firms.

Chief Compliance Office

Defining the necessary level of knowledge on existing and emerging regulatory compliance requirements across the organization.

Developing the annual compliance work plan that reflects the organization's unique characteristics.

Periodically revising the compliance plan in light of changes.

Guiding in a productive, professional way, the adherence to compliance deadlines.

Overseeing and monitoring the implementation of the compliance program.

Completing all quarterly and annual filings requirements.

Providing guidance, advice, and/or training and educational programs, to improve business' understanding of related laws and regulatory requirements.

Providing strategic direction to the management team on compliance.

Preparing and presenting clear and concise compliance reports to the Board.

Interacting with regulators on compliance issues.

Coordinating efforts related to audits, reviews, and examinations.

Developing policies and programs that encourage managers and employees to report suspected fraud and other improprieties, without fear of retaliation.

Coordinating and leading internal compliance review and monitoring activities, including periodic reviews of departments.

Independently investigating and acting on matters related to compliance.

Facilitating annual regulatory risk assessment and providing senior management with recommendations based on the results.

Tracking and providing recommendations for remediation of identified exceptions or deficiencies and collaborating with the business to follow up on timely remediation.
