JOB SUMMARY: The Office of General Counsel is to provide advice and counsel on a variety of API Technologies Corp (API Tech) business aspects to include, but not limited to, policy, employment, contracts and procurement, corporate matters, commercial transactions, and mergers & acquisitions. The General Counsel provides senior management with effective advice on company strategies and their implementation, manages the legal funcation, and obtains and oversees the work of outside counsel. This position will span across product, regulatory, commercial, international expansions, privacy, corporate, IP, employment, policy, and compliance. And beyond just the legal function, we’re looking for a business partner who will have input and influence across the company, and who will serve as a key member of API Tech’s leadership team.

ESSENTIAL JOB FUNCTIONS:

Lead and manage all legal matters for the company.

Actively participate as a senior member of management, work directly with the corporate executive team to provide legal and business counsel, and establish and influence appropriate ethical standards and legal considerations in company decisions and practices.

Support evaluation and execution of M&A opportunities, develop business cases and work closely with internal leaders and external advisors.

Actively participate in key corporate strategic planning processes, working across businesses and functions to frame the corporate strategy and drive alignment and execution on key initiatives

Oversee and help develop our legal strategy for a wide variety of product, regulatory, and commercial opportunities.

Serves as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures.

Trusted business partner managing customer relationships, negotiating deals, creating innovative solutions, and providing regulatory knowledge to our customers; negotiation and management of complex proposals and contracts

Serves as subject-matter expert in commerical transactions and may directly negotiate agreements and/or disputes in collaboration with the Information Systems team, ensures the implementation of the data privacy program to include state and federal privacy regulations, and incident response

Identify potential areas of compliance vulnerability and risk, and develop/implement corrective action plans for resolution of problematic issues. Provide general guidance on how to avoid or deal with similar situations in the future. Monitor the performance of the Compliance Program and related activities on a continuing basis, taking appropriate steps to improve its effectiveness. Manages the investigation of ethics allegations and oversees the development and implementation of any remedial measures to correct deficiencies.

Creates, implements, and enables ethics and compliance activities globally to include policy and procedure development and sustainment, training and communication, risk assessments and monitoring

Responsible for ensuring the adoption of trade compliance tools, and systems which demonstrate compliance with the applicable Global Trade Compliance (GTC) laws and regulations. The successful candidate will be proficient with the requirements of the EAR, ITAR, Foreign Trade, and OFAC.

Advises management of contractual rights and obligations. Compiles and analyzes contractual requirements and develops and provides recommendations to internal and external customers, as required

Analyze data, evaluate trends and monitor applicable laws and regulations to recommend and implement appropriate strategy and program enhancement

Develop enterprise-wide Ethics and Compliance training and awareness initiatives, including managing vendor relationships and developing effective and continuously improving employee engagement method.

Supports solutions for DOD and DSS requirements that impact the exports of technology and hardware.

Conduct periodic internal and external compliance assessments of facilities to ensure adherence to policies, procedures and compliance of all activities and transactions with the appropriate import/export laws and recordkeeping.

Maintains all security requirements for programs under their purview to ensure compliance with the National Industrial Security Program (NISP) and relevant supplemental DoD policies and directives.

Supervises the establishment and implementation of a security program to ensure compliance with U.S. Department of Defense requirements for Specialist Security Agreement companies including the establishment and operation of facility and personnel security clearance systems. Maintains all security requirements for programs under their purview to ensure compliance with the National Industrial Security Program (NISP) and relevant supplemental DoD policies and directives.

REQUIRED QUALIFICATIONS:

Education: Doctorate's (Juris Doctorate)

Experience Years: 10-15 years

Experience Type: Aerospace, Defense, Medical, Encryption or related industry OR Equivalent combination of education and experience

Certificates/Licenses: See below:

S. Citizenship, US Permanent Resident, US Non-citizen National

Able to travel as required, up to 50%

Microsoft Office (Outlook, Word, Excel, PowerPoint, Project, Visio etc.)

DESIRED QUALIFICATIONS: See Below:

Education: Juris Doctorate

Experience successfully managing a Compliance and Ethics program, building training and communication programs, and developing a culture of ethical business conduct.

Experience conducting formal training and presentations with an ability to effectively communicate legal and procedural requirements top down.

Successful candidate will thrive in working in a small team with limited supervision, hands on designing and building compliance modules to implement globally.
