This is the chief legal officer for Day & Zimmermann's Munitions and Government Business Unit (DZMG), a leading munitions contractor with a wide range of expertise in the manufacturing, storage and demilitarization of ammunition products for the U.S. Department of Defense and U.S.-approved foreign governments. As the chief legal officer for Munitions and Government, this position has responsibility to provide and manage all legal advice and services.  Additionally, the chief legal officer will advise and manage all legal services including outside counsel related to mergers, acquisitions, joint ventures and teaming agreements.

Knowledge of US and foreign laws related to doing business as a federal government contractor, both domestically and overseas, including FAR, DFAR, SCA, ITAR, FCPA and EAR, as well export of ITAR and EAR controlled items.
Strong business acumen; ability to learn, understand and provide insight on significant business issues.
Ability to function as an effective counselor and confidant, working closely with senior business leaders.
 

What You’ll Be Doing:

Partner with DZMG Leaders to assess, predict and manage legal and other risks in varied businesses operating in classified, fast-changing and high-risk environments.  Counsel DZMG leaders regarding all legal issues related to their businesses, including day-to-day legal advice, legal issues that arise in strategic planning and changes in market approach, and any changes to laws and regulations that may impact the businesses.
Management and support of DZMG contracts staff in the review, negotiation and approval of customer contracts and support of DZMG compliance directors to ensure company compliance with applicable laws and regulations. Attract, retain and develop employees. Evaluate team members for compliance with established goals /objectives, contributions in attaining goals/objectives, and overall performance.
Collaborate with operational and supply chain leadership teams to ensure that contractual and operational risks assumed by DZMG are flowed down to subcontractors and suppliers, including, e.g., risks arising from or related to sole-source or directed-source subcontracts and purchase orders.
Manage disputes and litigation matters, foreign and domestic. Implement strategies related to dispute resolution and settlement. Select and manage outside attorneys, as needed, for all legal matters, including establishing budgets and managing legal expenses
Counsel DZMG leaders as they invest in new business lines and technologies. Provide and manage the legal services required for joint ventures, mergers and acquisitions.
Ensure that the company complies with ITAR, EAR, FCPA, BATF and other laws applicable to the export of munitions and other controlled items to other countries. Oversight of training and monitoring of employees regarding compliance with relevant laws, rules, regulations, and corporate policies relating to their businesses.
 

What You Need To Bring To The Table:

JD and current license to practice law.
Seven to fifteen years’ experience, preferably in federal government contracting, regulatory compliance and doing business overseas.
Active Top Secret clearance and/or the ability to obtain and maintain top secret clearance.
Major Law firm experience preferred. Military experience preferred.  Willingness to travel up to 25% including international travel.
