The General Counsel role will be making a difference in our members’ lives through the effective risk management of enterprise contracts, legal review, analysis, and advice. This will be accomplished by having the highest level of business acumen, ability to think beyond what’s generally considered possible, and providing an exceptional experience for both internal and external stakeholders. Your role is vital in the organization’s ability to scale. You will be responsible for providing recommendations to management regarding legal issues pertaining to general organizational business, collections, bankruptcy, foreclosures and related issues. You may examine and draft employment, real estate and vendor contracts, and manage copyrights and trademarks. You will also be responsible for the negotiation and management of contracts, insurance matters and high level enterprise legal matters. To ensure success, you need to have sound knowledge and understanding of applicable laws and regulations, the ability to make prudent legal decisions and have high levels of business acumen. Successful candidates will be team players with excellent soft skills, and a desire to have fun!

Responsibilities may include:

• Counseling the President/CEO and other executive management regarding the legal implications of the Firm’s major decisions, strategies and transactions;

Manage organization’s legal matters

• Examine and create draft agreements, such as vendor agreements and employment contracts;

• Maintain knowledge of organization’s operations and legal documents;

• Conduct legal research and review company’s litigation strategy pertaining to legal actions in the area of collections, bankruptcy, foreclosures, and related issues;

Promulgate and create directives of corporate acts and decisions;

• Handle statutory filings

Liaising with outside counsel regarding related assignments

Create new entities and manage organization’s intellectual property

• Manage and lead a potential team of risk managers, assess performance, coach or discipline as needed.

Coach teams on how to implement and develop action plans to obtain their goals and maintain compliance to legal, regulatory and company laws, regulations and/or policies;

Foster a positive and engaging work environment for team members;

Assume responsibility for related duties and special projects as required or assigned.

Qualifications

EXPERIENCE:

Minimum of five years of active practice with an established law firm

Proficient legal experience in finance or related industries

Experience with corporate governance issues

Experience and knowledge of statues, rules and regulations pertaining to businesses.

Position requires strong analytical, organizational, conflict resolution, presentation and leadership skills, as well as excellent interpersonal and communication skills.

EDUCATION:

Juris Doctorate degree from an accredited law school

Licensed to practice law from the State Bar Association

MBA or Bachelors of Business Administration degree, or equivalent, will be considered an asset

INTERPERSONAL SKILLS:

A significant level of trust and diplomacy is required, in addition to normal courtesy and tact. Work involves extensive personal contact with members of executive management and others and is usually of a confidential nature. First class interpersonal and communication skills are required. Excellent judgement and analytical skills are required but so is the ability to distill complex information in an understandable way.
