The North Carolina League of Municipalities (NCLM) is initiating the recruitment process for General Counsel within the Legal Department. The mission of the Legal Department is two-fold: to provide legal guidance and services to the League membership, and to support internal functions by providing in-house counsel to the League and its related organizations. This position accomplishes the mission by serving as a legal and strategic advisor to leadership of the organization on a variety of nonprofit association issues; managing, directing, and taking chief responsibility for providing in-house counsel to the League’s own boards, departments and staff; and managing, directing, and participating in all aspects of the provision of legal services to the League’s membership.
Responsibilities/Requirements:
Manages and serves as chief provider of in-house counsel services to the League and its related organizations (including three insurance pools and 501(c)(3) nonprofit corporation). Protects the organization's legal interests by providing sound legal and procedural advice and strategic counsel to the Executive Director, department directors, and staff to ensure that the organization and its business operations, programs and services remain in legal and regulatory compliance with state and federal law. Works to identify and resolve legal concerns and to facilitate necessary process changes. Conducts research on legal matters related to business operations, services and programs of the League and its related organizations and provides legal interpretations and recommendations on substantive issues affecting services, operations, formation of new programs, organizational structure, tax status and other areas of compliance. Drafts policies and procedures and reviews and modifies foundational documents. Manages and provides contract drafting and review for the League and its related organizations. Advises the League’s Board of Directors, the Risk Management Services Board of Trustees, League Foundation Board of Directors and their committees on legal and procedural matters. Manages the engagement of outside counsel as necessary.
Manages, directs, and participates in the provision of legal guidance and services to the League’s members, including conducting legal research; reviewing and analyzing statutes, case law, regulations, ordinances, and other information; and responding to legal and administrative inquiries orally and in writing. Recommends best practices and drafts material such as manuals, model ordinances, articles, and memoranda on legal issues of municipal interest. Manage MIT third party vendors by monitoring performance; scheduling vendor meetings; assuring vendor meets contractual requirements; managing fee arrangements with Consultants; and participating in the negotiation of contract terms.
Drafts educational materials and makes presentations to municipal officials at training sessions, affiliate meetings, and seminars.
Serves as member of internal strategic executive and leadership teams. Monitors, directs, and collaborates with legal department staff, establishes departmental objectives, plans legal department budget, monitors and approves expenditures, and monitors and reviews staff performance.
Serves as an officer and liaison to one or more of the League’s affiliate organizations.
Supports League events by interacting with municipal officials and assisting with duties as the annual conference, the advocacy goals conference, and other meetings.

Minimum Qualifications:
· Juris Doctorate degree from an accredited law school and license to practice law in the State of North Carolina is required for this position.
· Seven (7) to ten (10) of Professional experience in local government and business operations experience or equivalent. Other experience with the laws, regulations, principles, and practices of North Carolina local government will be considered. Real estate transactional experience beneficial. Business knowledge to develop strategic direction and maintain pool sustainability in a challenging health insurance industry.
· Interpersonal skills suited to interact with and communicate effectively – in all directions.
· Ability to keep, maintain and communicate a broad business perspective – from mission/vision through the operational level.
· Ability to solve problems, providing the necessary insight to recognize the problem, the ability to explain and prioritize the importance to all impacted and the ability to take the appropriate measures to resolve. Ability to understand current market trends, best practices and programs.
· Ability to exercise considerable tact, courtesy and discretion in frequent contact with public officials and municipal managers and others.
· Requires strong communication skills.
· Consensus-building across functional-levels and with external/internal stakeholders
· Knowledge of municipal government structure, operations and risk exposures.
· Requires excellent written and verbal communication skills and ability to direct messages to and interface with multiple audiences, both externally and internally.
· Ability to interact at high level of public contact, requiring tact and courtesy.
· Interpersonal skills to facilitate work with a wide range of individuals and groups from culturally diverse backgrounds.
· Available to travel statewide and occasionally out of state including overnight stays.
Additional Skills/Certifications/License Required:
Valid NC Driver License
Candidate must have advanced knowledge of Office products including Word, Excel, and Power Point.
This role reports to the Executive Director. This position is located in Raleigh, NC.
