Legend Biotech is currently seeking a dynamic and effective executive with legal leadership experience to join our leadership team as General Counsel. The successful candidate will ensure the company operates within the law at all times, offer counsel on various legal issues related to company business of development and commercialization of cell and gene therapies, create an effective guardian of the organization and facilitate business strategy development. The successful candidate will ensure legal compliance and limit risk exposure. The General Counsel will act as company’s internal chief lawyer, provide legal advice, and act as its primary legal representative to external parties.

Serve as lead lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures.

Assume ultimate responsibility for ensuring that the company conducts its business in compliance with applicable SEC et al. laws and regulations.

Advise on legal aspects of the company’s financing, business structures, and legal entities.

Provide proactive, timely, high-quality analysis and pragmatic advice on legal and business issues.

Participate in the definition and development of corporate policies, procedures, and programs.

Lead and organize the Company’s internal legal function and staff

Oversee the selection, retention, management, and evaluation of outside counsel

Provide guidance on legal issues and risk mitigation strategies relating to corporate contracts and commercial sales

Work with in-house counsel to create, review, manage and maintain the company’s contract and agreement templates

Work with in-house counsel to negotiate all forms of contracts and third-party agreements

Support the Human Resource Department on employment matters

Provide employee training on issues related to employment and contract law and compliance

Maintain legal files and set up process and systems for contract administration and compliance

Provide interpretations, advising executives, senior management and board on various matters such as legal rights and obligations under current and emerging regulatory schemes

Build effective working relationships, influence, negotiate, and drive organizational engagement with ability to be flexible and adapt quickly to the changing needs of the organization and work closely with key strategic alliance partner(s) for projects that are being jointly developed

Assure that the highest quality, ethical & professional values are demonstrated in all aspects of the company’s legal representation

Represent Legend Biotech with external parties as needed (regulators, external counsel, government entities, clients, partners, suppliers, etc.)

Create new entities and manage organization's intellectual property

Maintain knowledge of organization’s operations and legal documents. Set internal governance policies and manage the impact of external factors

Commission and review legal research related to company's litigation strategy pertaining to legal actions.

Promulgating and creating directives of corporate acts and decisions

Qualifications

Proven track record of providing counsel to clients in the pharmaceutical and/or biotech industry

Overall broad corporate legal knowledge (commercial law, securities law, litigation, labor law, etc.)

At least fifteen (15) years of experience in a major international law firm or corporate law department of an international corporation (or a combination of both), including roles of increasing leadership and responsibility

Ability to develop legal strategy and objectives

Well-versed in how businesses operate with a strong financial acumen

High degree of professional ethics, integrity and gravitas

Excellent judgement and analytical skills

First-class interpersonal and communication skills

Ability to anticipate legal issues or risks and to “see around the corner”

Juris Doctor Degree from an ABA accredited institution

Licensed to practice law in at least one jurisdiction in the United States
